INTESA SANPAOLO: FILING NOTICE

Turin - Milan, 8 October 2020 – Intesa Sanpaolo communicates that, in accordance with the regulations in force, the amended Articles of Association were made available today at the Company's Registered Office, as well as on the authorised storage system eMarket STORAGE and at group.intesasanpaolo.com. The amended Articles of Association were registered in the Turin Company Register on 7 October 2020 following the new composition of the Bank's share capital resulting from the completion of the Joint Procedure for the exercise of the right of squeeze-out pursuant to Art. 111 of the Consolidated Law on Finance (TUF) and the fulfilment of the compulsory squeeze-out pursuant to Art. 108, paragraph 1, of the TUF concerning all the residual UBI Banca shares, as part of the share capital increase for a consideration (aumento di capitale sociale a pagamento) functional to the voluntary public purchase and exchange offer for all the UBI Banca ordinary shares launched by Intesa Sanpaolo.
