OPENING OF THE THIRD AND FINAL EXERCISE PERIOD NOVEMBER 4-29, 2024
Trezzo sull'Adda (MI), November 4, 2024 – Cofle S.p.A. (EGM: CFL) – The Board of Directors of Cofle S.p.A. (EGM: CFL) – a leading company in the design, production, and worldwide marketing of control systems and control cables for the off-road vehicles, automotive, and automotive aftermarket sectors – announces that between November 4, 2024, and November 29, 2024, inclusive (the "Third Exercise Period"), holders of the "Warrant Cofle 2021-2024" – ISIN IT0005465635 – (the "Warrants") may request their exercise.
Holders of the "Warrant Cofle 2021-2024" have the right to subscribe to Cofle ordinary shares, without nominal value, with regular entitlement and the same characteristics as the shares in circulation on the effective date of the Warrant exercise, intended exclusively for the exercise of the Warrants (the "Compendium Shares"), at a ratio of 1 (one) Compendium Share for every 1 (one) Warrant held, at a price per Compendium Share of €16.90.
Subscription requests for the Compendium Shares can be made on any banking business day during each of the Exercise Periods and must be submitted to the Intermediary participating in Monte Titoli where the Warrants are deposited.
It is understood that if Warrant holders do not request to subscribe to the Compendium Shares by the final deadline of the Exercise Period, they will lose the relative right.
The Compendium Shares subscribed by the Warrant holders during the Exercise Period will be made available for trading, through Monte Titoli, on the settlement day following the end of the last day of the relevant Exercise Period.
The Compendium Shares will have the same entitlement as Cofle Ordinary Shares traded on Euronext Growth Milan Italia on the date of issuance of the Compendium Shares.
