EXPRIVIA: NOMINA PER COOPTAZIONE DI UN CONSIGLIERE DI AMMINISTRAZIONE
2 dicembre 2020. Exprivia S.p.A. - società quotata al mercato MTA di Borsa Italiana [XPR.MI] – informa che il Consiglio di Amministrazione, riunitosi nella serata di ieri, ha cooptato il dott. Giovanni Castellaneta, con deliberazione approvata dal Collegio Sindacale, in qualità di Consigliere non indipendente con delega allo sviluppo del business, affiancando il presidente e amministratore delegato nelle operazioni di crescita della società e del gruppo.
Il dott. Giovanni Castellaneta, diplomatico italiano che da oggi entra a far parte del Consiglio di Amministrazione di Exprivia, si è laureato in Giurisprudenza presso l'Università La Sapienza di Roma. È stato Ambasciatore italiano in Australia, in Iran e negli Stati Uniti di America dal 2005 al 2009. È stato consigliere diplomatico del Presidente del Consiglio e suo rappresentante per i Vertici del G7/G8 dal 2001 al 2005. Inoltre, dal 2002 al 2012 ha ricoperto la carica di Consigliere d'Amministrazione di Leonardo/Finmeccanica e Vicepresidente dell'omonimo Gruppo. Dal 2010 al 2016 è stato Presidente del Consiglio di Amministrazione di SACE e dal 2012 al 2017 ha ricoperto la carica di Presidente di Italfondiario S.p.A.. Dal 2013 al 2018 è stato Presidente di Torre SGR S.p.A e dal 2014 al 2018 è stato Presidente di Milanosesto S.p.A..
Attualmente ricopre la carica di Presidente di doValue S.p.A. (già doBank S.p.A.) dal 2015. È Presidente della Bizzi & Partners Development LLC dal 2013, è Segretario Generale dell'Iniziativa Adriatico Ionica (IAI) dal 2017 ed è Presidente del Consiglio di Amministrazione di Retelit Med srl dal 2020.
Il nuovo amministratore, ai sensi dell'art. 2386 del codice civile e dello statuto vigente, resterà in carica sino alla prossima Assemblea degli Azionisti.
Il Consiglio di Amministrazione, nella medesima seduta, ha accertato che il dott. Castellaneta possiede i requisiti di professionalità e onorabilità e rispetta i criteri di competenza, correttezza e dedizione di tempo previsti dalla normativa pro tempore vigente e dallo Statuto sociale.
Sulla base delle comunicazioni effettuate alla Società, il dott. Giovanni Castellaneta non risulta detenere, alla data odierna, direttamente e/o indirettamente azioni ordinarie e/o di categoria speciale della Società.

EXPRIVIA: APPOINTMENT BY CO-OPTATION OF A NEW BOARD DIRECTOR
December 2, 2020. Exprivia S.p.A. - a company listed on the MTA market of Borsa Italiana [XPR.MI] – informes that the Board of Directors, which met yesterday evening, co-opted Mr. Giovanni Castellaneta, by resolution approved by the Board of Statutory Auditors, as a non-independent director with responsibility for business development, supporting the Chairman and CEO in the growth operations of the Company and the group.
Mr. Giovanni Castellaneta, an Italian diplomat who now joins the Board of Directors of Exprivia, graduated in Law at La Sapienza University in Rome. He has been Italian Ambassador in Australia, Iran and in the United States of America from 2005 to 2009. He has been diplomatic adviser to the Prime Minister and his representative for the G7/G8 Summits from 2001 to 2005. Moreover, from 2002 to 2012 he has been a member of the Board of Directors of Leonardo/Finmeccanica and Vice-Chairman of the Group. From 2010 to 2016 he has been Chairman of the Board of Directors of SACE and from 2012 to 2017 he has been Chairman of Italfondiario S.p.A.. From 2013 to 2018 he has been Chairman of Torre SGR S.p.A. and from 2014 to 2018 he has been Chairman of Milanosesto S.p.A.. He currently holds the position of Chairman of doValue S.p.A. (formerly doBank S.p.A.) since 2015. He is President of Bizzi & Partners Development LLC since 2013, General Secretary of the Adriatic Ionian Initiative (IAI) since 2017 and Chairman of the Board of Directors of Retelit Med srl since 2020.
Pursuant to art. 2386 of the Italian Codice Civile and the Company Statute in force, the new director will remain in office until the next Shareholders' Meeting.
The Board of Directors, at the same meeting, assessed that Mr. Castellaneta meets the requirements of professionalism and honourableness and complies with the criteria of competence, correctness and dedication of time provided for by the regulations in force at the time and the Company Statute.
Considering the communications sent to the Company, Mr. Giovanni Castellaneta does not, as of today's date, directly and/or indirectly hold ordinary and/or special category shares of the Company.
