INTESA SANPAOLO: FILING NOTICE

Turin - Milan, 22 December 2020 – Intesa Sanpaolo communicates that the documents listed below relating to the merger by incorporation of UBI Banca S.p.A. into Intesa Sanpaolo S.p.A. were made available today at its Registered Office, as well as on the authorised storage system eMarket STORAGE and at group.intesasanpaolo.com.

This is in accordance with regulations in force.

The documents comprise:

• the merger plan
• the explanatory report of the Board of Directors of Intesa Sanpaolo S.p.A.
• the explanatory report of the Board of Directors of UBI Banca S.p.A..

The annual reports for the last three years of the companies involved in the transaction are available at the Registered Office of Intesa Sanpaolo.
