ESPRINET: SIGLATO IL CLOSING PER L'ACQUISTO DEL 100% DI DACOM E IDMAINT

Vimercate (Monza Brianza), 22 gennaio 2021 – ESPRINET (PRT:IM), leader nel sud Europa nella distribuzione di IT, Consumer Electronics e Advanced Solutions, facendo seguito a quanto comunicato in data 30 novembre 2020, rende noto di aver proceduto in data odierna all'acquisto del 100% del capitale sociale di Dacom S.p.A., leader nella distribuzione specializzata di prodotti e soluzioni per l'Automatic Identification and Data Capture (AIDC), e del 100% del capitale sociale di IdMaint S.r.l., specializzata nei servizi di manutenzione e supporto tecnico pre e post vendita sui prodotti Auto-ID.

L'esecuzione dell'accordo era soggetta alle condizioni di prassi applicate ad analoghe operazioni, fra cui il conseguimento dell'autorizzazione all'acquisizione da parte dell'Autorità Anti-Trust italiana. Il corrispettivo pattuito, stimato in 13,9 milioni di euro, è stato corrisposto in data odierna per cassa per 10,3 milioni di euro, utilizzando risorse disponibili. Restano validi i meccanismi di aggiustamento prezzo legati al calcolo di Patrimonio Netto effettivo, qualità del magazzino e posizione creditizia per la determinazione del Prezzo Definitivo, a un anno dalla data odierna.

Con questa operazione, che fa seguito all'acquisizione di GTI Group in Spagna, il Gruppo ESPRINET si rafforza ulteriormente nel segmento Advanced Solutions, diventando il principale distributore nel Sud Europa nella nicchia dell'AIDC. Grazie alla completezza del portafoglio prodotti, all'ampio insieme di clienti serviti e all'alto livello di competenza e specializzazione di Dacom e di Diode, la controllata di GTI leader in Spagna, ESPRINET si pone come il player di riferimento in un business che, anche a seguito del forte sviluppo dei modelli di vendita e-commerce, registra un elevato potenziale di crescita nella logistica e nel mondo retail. È prevista inoltre una domanda in forte crescita anche nel settore sanitario, dove l'AIDC è strategico nella tracciatura dei medicinali e dei campioni e potrà beneficiare degli investimenti in automazione delle strutture ospedaliere.

ESPRINET: CLOSING SIGNED FOR THE ACQUISITION OF 100% OF DACOM AND IDMAINT

Vimercate (Monza Brianza), 22nd January 2021 - ESPRINET (PRT: IM), leader in southern Europe in the distribution of IT, Consumer Electronics and Advanced Solutions, following what was communicated on 30 November 2020, announces that it has proceeded on today to the acquisition of 100% of the share capital of Dacom S.p.A., leader in the specialized distribution of products and solutions for Automatic Identification and Data Capture (AIDC), and of 100% of the share capital of IdMaint S.r.l., specialized in maintenance services and pre and post sales technical support on Auto-ID products.

The execution of the agreement was subject to the conditions of practice applied to similar transactions, including the obtaining of the authorization for the acquisition by the Italian Anti-Trust Authority. The agreed consideration, estimated in Euro 13.9 million, has been paid today in cash for Euro 10.3 million, using available resources. Price adjustment mechanisms for the measurement of the Final Consideration, resulting from the actual net equity, the inventory and the credit quality, remain valid one year from today.

By this operation, which follows the acquisition of GTI Group in Spain, the ESPRINET Group is further strengthened in the Advanced Solutions segment, becoming the main distributor in Southern Europe in the AIDC niche. Thanks to the complete product portfolio, the wide range of customers served and the high level of competence and specialization of Dacom and Diode, the leading subsidiary of GTI in Spain, ESPRINET is the reference player in a business that, also following the strong development of e-commerce sales models, it records a high growth potential in logistics and in the retail sector.
