POSTE ITALIANE COMPLETES THE ACQUISITION OF NEXIVE GROUP

Rome, 29 January 2021 - Poste Italiane S.p.A. announces that, following the Board of Directors resolutions and the preliminary agreement announced on 16 November 2020, the acquisition of Nexive Group S.r.l.'s ("Nexive") entire share capital from PostNL European Mail Holdings BV and Mutares Holding - 32 GmbH has been completed.

The transaction falls under art. 75 of the 14 August 2020 Legislative Decree n. 104, and accordingly has been duly and promptly assessed by the AGCM (Italian Antitrust Authority) on 22 December 2020, taking into account market and employment related interests.

The price for the acquisition of Nexive's entire share capital was agreed at €34.4 million, based on an Enterprise Value of €50 million and a net debt of €15.6 million.
