Servizi Italia: the workwear business unit sold to Alsco Italia

Castellina di Soragna, 26 February 2021

Today, following the press release issued on 28 January 2021, Servizi Italia S.p.A. – a company listed on the STAR segment of the Italian Stock Exchange and leader in the outsourcing of hospital services in Italy, Brazil, Turkey, India, Albania and Morocco – announces to have signed the closing relating to the sale (the "Transaction") to Alsco Italia S.r.l. ("Alsco"), a company incorporated under the laws of Italy operating in the rental and laundering of workwear and flat linen for facilities in the community and industrial laundries market, of the workwear business unit (the "Business Unit").

The Transaction has an important strategic value and allows Servizi Italia, as part of a renewed strategy, to pursue the initiatives for sustainable success outlined in its medium-long term business plan and to allocate the proceeds received from the sale of the Business, net of the costs incurred for the sale, to strengthen its financial and capital structure and to the strategic development initiatives.

With today's agreement, which is effective from 1 March 2021:

  • Servizi Italia has transferred to Alsco the Business Unit, which includes in particular the customer portfolio of the workwear sector, the Barbariga (BS) plant and related property, the contractual relationships with the employees of the workwear sector and relevant debts, the plant, machinery, equipment and other operating assets concerning the workwear sector, the workwear linen and textile products and the commercial goodwill of the Business Unit;
  • The parties agreed a 4-year non-competition agreement.

The price payment, defined on the basis of the valuation of the components of the Business and expected to be minimum of Euro 9 million, has been divided as follows: (i) Euro 7.978 million paid today; (ii) the remaining part within 30 days from the date of execution of the closing.
