"Short-Run Warrant Osai A.S. S.p.A. 2021": determinazione del Prezzo di Esercizio e apertura del Periodo di Esercizio

Parella (TO), 26.03.21 - Il Consiglio di Amministrazione di Osai Automation System S.p.A. ("Osai" o la "Società") (Ticker AIM: OSA), riunitosi in data 26 marzo 2021, ha determinato il "Prezzo di Esercizio" e il "Periodo di Esercizio" dello "Short - Run Warrant Osai A.S. S.p.A. 2021", codice ISIN IT0005424814 (di seguito anche "Warrant").

I portatori del Warrant potranno richiederne l'esercizio a derorrere dal 30 marzo 2021 e fino al 14 aprile 2021, termini iniziale e finale compresi (di seguito anche il "Periodo di Esercizio"), in qualsiasi giorno di Borsa Aperta nel corso del periodo, con diritto di sottoscrivere ulteriori azioni ordinarie Osai di nuova emissione, prive del valore nominale, aventi godimento regolare e con le medesime caratteristiche delle azioni ordinarie Osai in circolazione alla data di emissione e negoziazione su AIM Italia (di seguito anche le "Azioni di Compendio"), in ragione di nr. 1 (una) Azione di Compendio ogni nr. 1 (un) Warrant presentato per l'esercizio.

Il Prezzo di Esercizio dei Warrant è pari a 2 euro (due euro) per ciascuna Azione di Compendio e dovrà essere integralmente versato all'atto della presentazione della relativa richiesta, senza aggravio di commissioni e spese a carico dei richiedenti.

Le richieste di sottoscrizione dovranno essere presentate all'intermediario aderente al sistema di amministrazione accentrata di Monte Titoli S.p.A. presso il quale i Warrant sono depositati.

Le Azioni di Compendio sottoscritte in esercizio dei Warrant saranno rese disponibili, per il tramite di Monte Titoli S.p.A., il giorno di liquidazione successivo al termine dell'ultimo giorno del Periodo di Esercizio.

"Short-Run Warrant Osai A.S. S.p.A. 2021 ": determination of the Exercise Price and opening of the Exercise Period

pursuant to art. 6.3 letter a) and art. 8, letter f) of the Delegated Regulation (EU) 2016/1052 of 8 March 2016

Parella (TO), 26.03.21 - The Board of Directors of Osai Automation System S.p.A. ("Osai" or the "Company") (Ticker AIM: OSA), which met on 26 March 2021, determined the "Exercise Price" and the "Exercise Period" of the "Short - Run Warrant Osai A.S. S.p.A. 2021 ", ISIN code IT0005424814 (hereinafter also" Warrant ").

The holders of the Warrant will be able to request exercise from March 30th, 2021 and until April 14th, 2021, including the initial and final terms (hereinafter also the "Exercise Period"), on any trading day during the period, with the right to subscribe additional newly issued Osai ordinary shares, without par value, with regular entitlement and with the same characteristics as the Osai ordinary shares in circulation on the date of issue and trading on AIM Italia (hereinafter also the "Conversion Shares" ), on the basis of no. 1 (one) Conversion Share for every nr. 1 (one) Warrant presented for the year.

The Exercise Price of the Warrants is equal to 2 euros (two euros) for each Conversion Share and must be paid in full at the time of submitting the relevant request, without increasing fees and expenses to be borne by the applicants.

Subscription requests must be submitted to the intermediary adhering to the centralized administration system of Monte Titoli S.p.A. with which the Warrants are deposited.

The Conversion Shares subscribed in exercise of the Warrants will be made available, through Monte Titoli S.p.A., on the settlement day following the end of the last day of the Exercise Period.
