IL CONSIGLIO DI AMMINISTRAZIONE CONFERISCE LE DELEGHE E NOMINA I COMPONENTI DEL COMITATO CONSILIARE

Bologna, 29 aprile 2021 – Datalogic S.p.A. (Borsa Italiana S.p.A.: DAL), società quotata presso il Mercato Telematico Azionario – Segmento Star – organizzato e gestito da Borsa Italiana S.p.A. ("Datalogic) annuncia che, l'odierno Consiglio di Amministrazione, confermando l'assetto di governance precedentemente comunicato al mercato, ha nominato la Dott.ssa Valentina Volta quale Amministratore Delegato del gruppo Datalogic con tutte le deleghe esecutive, ad eccezione delle due aree "M&A" e "Real Estate" che rimangono in capo, in via esclusiva, al Presidente, Ing. Romano Volta. Si precisa inoltre che sono attribuite in via esclusiva alla Dott.ssa Volta le deleghe concernenti l'area " Mercati - Sales & Marketing" e che tutte le altre deleghe che non siano attribuite in via esclusiva all'Amministratore Delegato ("Mercati - Sales & Marketing ") ovvero in via esclusiva al Presidente ("M&A" e "Real Estate") sono condivise tra le due funzioni, con poteri disgiunti.

Sulla base delle dichiarazioni rese dagli Amministratori e delle informazioni a disposizione della società, il Consiglio di Amministrazione ha accertato in capo a tutti i consiglieri il possesso dei requisiti di onorabilità e l'assenza di cause di ineleggibilità e incompatibilità, come richiesto dalla normativa vigente, nonché il possesso dei requisiti di indipendenza previsti dalla legge e dal Codice di Corporate Governance da parte dei Consiglieri Vera Negri Zamagni, Roberto Pisa, Chiara Giovannucci Orlandi e Angelo Manaresi, nominando quest'ultimo Lead Independent Director.

Il Consiglio di Amministrazione ha confermato i seguenti componenti dell'Organismo di Vigilanza ex D.lgs. n. 231 del 2001: Luca Sirotti, componente esterno con funzione di Presidente; Lucio Taddei componente esterno; David Scapparone, componente interno.

Il Consiglio ha inoltre nominato nel Comitato Controllo, Rischi, Remunerazione e Nomine Angelo Manaresi come Presidente e i Consiglieri Vera Negri Zamagni e Chiara Giovannucci Orlandi come componenti, tutti non esecutivi e indipendenti.

Il Consiglio, infine, ha confermato il Group CFO Laura Bernardelli dirigente preposto alla redazione dei documenti contabili societari.

THE BOARD OF DIRECTORS GIVES DELEGATES AND APPOINTES THE MEMBERS OF THE BOARD COMMITTEE

Bologna, 29th April 2021– Datalogic S.p.A. (Borsa Italiana S.p.A: DAL), a company listed in the STAR Segment of the Italian Stock Exchange managed by Borsa Italiana S.p.A. ("Datalogic") and global leader in the automatic data capture and process automation markets, announces that the Board of Directors, confirming the governance structure previously communicated to the market, has confirmed Valentina Volta, in the position of CEO of Datalogic Group, giving her all executive powers other than those relating to "M&A" and "Real Estate" areas, which shall remain exclusively with the Chairman of the Board of Directors, Mr. Romano Volta. Furthermore it is hereby specified that Mrs. Volta is granted exclusive powers in relation to the "Markets -Sales & Marketing" area and all other powers not granted exclusively neither to the Group CEO ("Markets-Sales & Marketing") nor to the Chairman ("M&A" and "Real Estate") are attributed to the Group CEO and the Chairman, on a several (not joint) basis.

Based on the available information and the statements made by the directors, the Board has also evaluated that all the directors have the integrity requirements, that causes for their ineligibility and incompatibility do not exist as required by current law and the existence of the requirements of independence, pursuant to the current law and the Code of Corporate Governance, with regard to the independent directors Vera Negri Zamagni, Roberto Pisa, Chiara Giovannucci Orlandi and Angelo Manaresi, appointing the latter Lead Independent Director.

The Board of Directors confirmed the following members of the Watch Structure pursuant to legislative decree no. 231 of 2001: Luca Sirotti, external member as Chairman, Lucio Taddei external member; David Scapparone, internal member.

The Board also appointed the following members of the Control, Risks, Compensation and Nomination Committee: Angelo Manaresi as Chairman and Vera Negri Zamagni and Chiara Giovannucci Orlandi as members, all non-executive and independent.
