L'ASSEMBLEA PRENDE ATTO DEL BILANCIO CONSOLIDATO E APPROVA IL BILANCIO D'ESERCIZIO 2020

• Approvato il Bilancio di esercizio di OSAI A.S. S.p.A. al 31 dicembre 2020
• Approvata destinazione dell'utile di esercizio
• Conferito l'incarico alla Società di Revisione

Torino, 29 aprile 2021

L'Assemblea Ordinaria degli Azionisti di Osai A.S. S.p.A., società attiva nella progettazione e produzione di macchine e linee complete per l'automazione e il testing su semiconduttori (Ticker AIM: OSA), convenzionalmente convocata in Parella (TO), Via della Cartiera n.4, alle ore 12.30 del giorno 29 aprile 2021 presso la sede sociale, si è riunita in data odierna sotto la presidenza della Sig.ra Mirella Ferrero.

• BILANCIO DI ESERCIZIO DI OSAI S.P.A. AL 31 DICEMBRE 2020 – APPROVAZIONE E DESTINAZIONE DELL'UTILE

L'Assemblea prende atto del Bilancio Consolidato e approva il Bilancio d'esercizio di OSAI A.S. SPA al 31 dicembre 2020 e delibera di:

• I. destinare l'utile dell'esercizio, pari ad Euro 255.502,81 per Euro 12.776,00 a riserva legale, in ossequio a quanto disposto dall'art. 2430 del codice civile;
• II. di destinare, ai sensi e per gli effetti dell'art. 60, comma 7-ter, del D.L 14 agosto 2020 n. 104, a riserva indisponibile di utili (a) i restanti Euro 242.726,81 dell'utile d'esercizio 2020 e (b) una quota di utili precedentemente accantonati a Utili a nuovo pari a Euro 307.052,27;
• CONFERIMENTO DELL'INCARICO ALLA SOCIETÀ DI REVISIONE

L'Assemblea, su proposta motivata del Collegio Sindacale, ha conferito alla società di revisione BDO Italia S.p.A. l'incarico per la revisione legale dei conti della Società per gli esercizi 2021-2023.

L'Assemblea ha, altresì, approvato il corrispettivo dovuto per l'intera durata

dell'incarico.

Il Verbale dell'Assemblea comprensivo del Rendiconto sintetico delle votazioni sarà messo a disposizione del pubblico nei termini e con le modalità previste dalla normativa vigente.

In ottemperanza a quanto previsto dalla normativa vigente e dal Regolamento Emittenti AIM Italia, la Società rende noto che le copie del bilancio civilistico e consolidato 2020, corredati dalla relativa documentazione accompagnatoria, sono disponibili al pubblico presso la sede legale, in via Sondrio 13/I, Torino.

THE SHAREHOLDERS 'MEETING TAKES NOTE OF THE CONSOLIDATED FINANCIAL STATEMENTS AND APPROVES THE 2020 FINANCIAL STATEMENTS

• Approved the financial statements of OSAI A.S. S.p.A. as of December 31, 2020
• Approved allocation of profit for the year
• Tak assignment to Independent Auditors

Turin, 29th April 2021

The Ordinary Shareholders' Meeting of Osai A.S. SpA, a company that operates in the field of design and production of machines and complete lines for automation and testing on semiconductors (Ticker AIM: OSA), convened in Parella (TO), Via della Cartiera n.4, at 12.30 on the 29th April 2021 at the registered office, met today under the chairmanship of Ms Mirella Ferrero.

• FINANCIAL STATEMENTS OF OSAI S.P.A. AS OF DECEMBER 31, 2020 - APPROVAL AND ALLOCATION OF THE PROFIT

The Meeting takes note of the Consolidated Financial Statements and approves the financial statements of OSAI A.S. SPA as at 31 December 2020 and resolution to:

• I. to allocate the profit for the year, equal to Euro 255,502.81 for Euro 12,776.00 to the legal reserve, in compliance with the provisions of art. 2430 of the civil code;
• II. to allocate, pursuant to and for the purposes of art. 60, paragraph 7-ter, of Legislative Decree 14 August 2020 n. 104, to the restricted reserve of profits (a) the remaining € 242,726.81 of the profit for the year 2020 and (b) a share of profits previously allocated to retained earnings equal to € 307,052.27;
• ASSIGNMENT OF INDIPENDENT AUDITORS TASK

The Shareholders' Meeting, on the motivated proposal of the Board of Statutory Auditors, conferred on the auditing company BDO Italia S.p.A. the assignment for the statutory audit of the Company's accounts for the years 2021-2023.

The Meeting also approved the consideration due for the entire duration of the assignment.

The Minutes of the Assembly, including the summary report of the votes, will be made available to the public within the terms and in the manner prescribed by current legislation.

In compliance with the provisions of current legislation and the AIM Italia Issuers Regulation, the Company announces that the copies of the statutory and consolidated financial statements 2020, accompanied by the related accompanying documentation, are available to the public at the registered office, in via Sondrio 13 / I , Turin.
