Contenzioso relativo all'immobile di Via Solferino

Milano, 17 maggio 2021 – Con riferimento alle notizie apparse su taluni organi di comunicazione in merito all'esito dell'arbitrato relativo alla vendita dell'immobile Solferino, e alle sue pretese ricadute a carico di RCS nei due giudizi promossi dall'acquirente del citato immobile e da taluni fondi Blackstone avanti la Supreme Court of the State of New York, la Società precisa che la rappresentazione ivi riportata contiene affermazioni non corrette e/o fuorvianti.

Come già indicato nei precedenti comunicati, la Società ritiene che detti giudizi attualmente sospesi - siano proposti innanzi a un giudice privo di giurisdizione, e siano comunque infondati (peraltro, nei due giudizi pendenti a New York, uno contro RCS e l'altro contro il suo Presidente, il preteso danno non risulta neppure quantificato, oltre a non esservi alcuna base per duplicare il danno nei due giudizi).

Il Lodo del 14 maggio 2021 ha disposto la compensazione delle spese di lite e respinto le domande risarcitorie di controparte fondate su un preteso comportamento temerario e di mala fede di RCS. Questa decisione, incidendo sul merito, evidenzia l'infondatezza delle domande avversarie avanti la Supreme Court of the State of New York, basate su addebiti nei confronti di RCS già smentiti dal Lodo.

Le valutazioni svolte dalla Società rispetto al predetto contenzioso sono state effettuate in conformità ai principi contabili, tenendo conto, fra gli eventuali scenari, anche di quello che si è verificato con il Lodo del 14 maggio 2021.

Rispetto alle notizie pubblicate, la Società si riserva di adottare tutte le iniziative più opportune a tutela propria e del mercato.

Litigation concerning the property of Via Solferino

Milan, May 17, 2021 – With reference to the news that appeared in certain media regarding the outcome of the arbitration relating to the sale of the Solferino property, and the alleged consequences for RCS of the two lawsuits brought by the purchaser of that property and certain Blackstone funds before the Supreme Court of the State of New York, the Company specifies that the representation contained therein contains incorrect and/or misleading statements.

As stated in previous releases, the Company believes that such actions - which are currently stayed - are brought before a court without jurisdiction, and are anyway unfounded (moreover, in the actions the alleged damage is not even quantified, and there is no basis for the duplicative damages sought in the New York actions, one against RCS and the other against its Chairman).

The award of May 14, 2021 set off the costs of the litigation and rejected the counterparty's claims for damages based on RCS's alleged reckless conduct and bad faith. This decision, affecting the merits, highlights the groundlessness of the opposing claims before the Supreme Court of the State of New York, which are based on allegations against RCS that were already denied by the award.

The valuations of the Company with respect to the aforementioned litigation were carried out in accordance with accounting principles, taking into account, among the possible scenarios, the one that occurred with the award of May 14, 2021.

With reference to the news published, the Company reserves the right to take all appropriate actions to protect itself and the market.
