CESSIONE DI N. 883.400 "Warrant Osai 2020-2025"A EIFFEL INVESTMENT GROUP: POTENZIALE SUPERAMENTO DELLA SOGLIA DI PARTECIPAZIONE DEL 5%
Torino, 4 Giugno 2021 - OSAI Automation System S.p.A., (Ticker AIM: OSA), società attiva nella progettazione e produzione di macchine e linee complete per l'automazione e il testing su semiconduttori rende noto che il proprio azionista di riferimento Mirella Ferrero, che ricopre il ruolo di Presidente del Consiglio di Amministrazione, ha comunicato (i) di aver raggiunto un'intesa con Eiffel Investment Group (l'"Investitore") per la cessione di nr. 883.400 "Warrant Osai 2020-2025" (i "Warrant"), pari alla totalità dei warrant in suo possesso, ad un prezzo di Euro 2,09 ciascuno, e (ii) che l'Investitore ha dichiarato l'intenzione di esercitare almeno 750.000 Warrant acquistati, entro il 30 giugno 2021.
Sulla base delle informazioni attualmente a disposizione della Società, in caso di perfezionamento dell'operazione (i.e. l'esercizio dei 750.000 Warrant) e qualora non venissero esercitati altri Warrant nel periodo considerato, Eiffel Investment Group diverrebbe titolare di una partecipazione pari a circa il 4,76% del capitale sociale della Società; si segnala che sia in caso di esercizio da parte di Eiffel Investment Group di tutti i Warrant acquistati, sia nell'ipotesi di totale esercizio di tutti i Warrant in circolazione , l'Investitore supererebbe la soglia del 5%.

SALE OF 883,400 "Osai Warrants 2020-2025" TO EIFFEL INVESTMENT GROUP: POTENTIAL EXCEEDING THE PARTICIPATION THRESHOLD OF 5%
Turin, June 4th 2021 - OSAI Automation System SpA, (Ticker AIM: OSA), a company that operates in the field of design and production of machines and complete lines for automation and testing on semiconductors, announces that its principal shareholder, Mirella Ferrero, who also holds the position of Chairperson of the Board of Directors has announced (i) that it has reached an agreement with Eiffel Investment Group (the 'Investor') for the sale of 883,400 Osai 2020-2025 Warrants (the 'Warrants'), equal to all the warrants in her possession, at a price of €2.09 each, and (ii) that the Investor has declared the intention to exercise at least 750,000 of the warrants purchased by the 30th June 2021.
Based on the information currently available to the Company, in the event of completion of the transaction (i.e. the exercise of the 750,000 Warrants) and if no other Warrants are exercised in the period, Eiffel Investment Group would become the owner of an equity investment equal to approximately 4.76% of the Company's share capital. It should be noted that in the event of the exercise by Eiffel Investment Group of all the warrants purchased and in the event of full exercise of all the outstanding warrants, the Investor would exceed the 5% threshold.
