Outcome of today's BoD

Appointement of the Executive in charge of drawing up the Company's accounting documents and approval of new procedure for related party transactions

Cagliari, July 28, 2021

The Board of Directors of Tiscali S.p.A. (the "Company" or "Tiscali") met today and appointed Silvia Marchesoli as the Executive in charge of drawing up the Company's accounting documents pursuant to Article 154-bis of Legislative Decree 58/1998. The appointment was made with the favourable opinion of the Board of Statutory Auditors and in compliance with the requirements of integrity and professionalism set forth in current legislation and the Articles of Association. Silvia Marchesoli succeeded Roberto Lai, who resigned from his position following a change in the internal corporate organisation.

Having graduated in Business Administration from Bocconi University in Milan in 1991, Silvia Marchesoli worked for nine years in the Italian branch of the multinational Waste Management, in various roles up to that of Head of Consolidated Group Management Reporting. In 2000 she joined the Tiscali group, where she held positions of increasing responsibility, until becoming, in 2005, Head of Consolidated Financial Statements and Group Financial Reporting. She is currently Head of Administration and Planning. The curriculum vitae of Silvia Marchesoli, who, on the basis of available information, does not hold, directly and/or indirectly, shares in Tiscali, is available on the Company's website at https://www.tiscali.com/.

The Board of Directors also approved the new procedure for transactions with related parties in accordance with the new provisions introduced by Consob with resolution no. 21624/2020.
