Avvio del programma di acquisto di azioni ordinarie Saipem al servizio dei Piani di Incentivazione

San Donato Milanese (MI), 9 settembre 2021 – Saipem S.p.A. comunica che, a partire dalla data odierna, prende avvio il programma ("il Programma") di acquisto di azioni ordinarie Saipem - di cui all'art. 5 del Regolamento (UE) n. 596/2014 (Regolamento MAR) - deliberato dall'Assemblea degli Azionisti il 29 aprile 2020.

Il Programma ha ad oggetto l'acquisto di azioni proprie per:

i) l'attribuzione 2020 del Piano di Incentivazione di Lungo Termine 2019-2021, per un numero massimo di 17.090.920 azioni proprie e per l'importo massimo di Euro 93.000.000;

ii) l'attribuzione 2021 del Piano di Incentivazione di Breve Termine 2021-2023, per un numero massimo di 918.150 azioni proprie e per l'importo massimo di Euro 17.200.000.

Il programma di acquisto di azioni proprie sarà eseguito avvalendosi del safe harbour ai sensi del Regolamento MAR, nel rispetto dei termini e delle condizioni previste dalla normativa applicabile.

L'acquisto delle azioni avverrà sui mercati regolamentati tramite il conferimento di specifico mandato a Banca Akros S.p.A. quale intermediario abilitato, nel rispetto dei parametri e criteri contrattualmente predefiniti oltre che dei vincoli della normativa applicabile e della delibera assembleare.

Le operazioni avverranno in conformità alle modalità e nei limiti operativi consentiti dalla vigente normativa comunitaria, nazionale e dalle disposizioni applicabili, tenuto conto delle prassi di mercato inerenti all'acquisto di azioni proprie ammesse da Consob.

Gli acquisti delle azioni dovranno essere effettuati entro il termine massimo stabilito in 18 mesi dalla data della delibera assemblea del 29 aprile 2020.

Tenuto conto dell'attuale quotazione del titolo Saipem S.p.A. presso Borsa Italiana (8 settembre 2021), il potenziale esborso massimo di acquisto per l'operazione è stimato in circa Euro 36.000.000.

La Società comunicherà le operazioni in forma aggregata e dettagliata secondo la tempistica prevista dalla normativa applicabile.

In data odierna Saipem detiene 14.048.900 azioni proprie, pari a circa l'1,39% del capitale sociale; non vi sono azioni proprie detenute per il tramite di società controllate, fiduciarie o interposta persona.

Launch of the buy-back programme for Saipem ordinary shares to cover Incentive Plans

San Donato Milanese (Italy), September 9, 2021 – Today Saipem S.p.A. has launched the buy-back programme (the "Programme") for Saipem ordinary shares, pursuant to art. 5 of EU Regulation no. 596/2014 (MAR Regulation), approved by the Shareholders' Meeting on April 29, 2020.

The Programme regards the buy-back of the Company's own shares to cover:

i) the 2020 allocation of the 2019-2021 Long Term Incentive Plan, for a maximum number of 17,090,920 treasury shares and for an amount not exceeding Euro 93,000,000;

ii) the 2021 allocation of the 2021-2023 Short-Term share-based Incentive Plan, for a maximum number of 918,150 treasury shares and for an amount not exceeding Euro 17,200,000.

The treasury share buy-back programme will be carried out in compliance with MAR safe harbour requirements and with the terms and conditions provided by the applicable law.

The buy-back of shares will take place on regulated markets through the granting of a specific mandate to an authorized intermediary, Banca Akros S.p.A., in compliance with the contractual provisions and obligations, as well as the applicable laws and resolution and the shareholders resolution.

Buy-backs shall be made under the terms and limits detailed by the European Union and national law, as well as the applicable rules. Buy-backs will be executed in accordance with the market practices allowed by CONSOB.

Purchases will be carried out in line with the maximum period of 18 months from the resolution taken by the Shareholders' Meeting on April 29, 2020.

Based on the current price of Saipem S.p.A. shares on Borsa Italiana (September 8, 2021), the potential maximum outlay for the buy-back operation is estimated at approximately Euro 36,000,000.

The Company will inform about the transactions carried out as part of the Programme, both in aggregate and detailed form, within the timeframes required by the relevant regulations.
