MONDO TV: Comunicazione di emissione di nuove azioni a seguito della restituzione del prestito da parte di Atlas all'azionista di maggioranza

Comunicazione di avvenuta variazione del capitale sociale

2 dicembre 2021 – Facendo seguito al comunicato del 30 novembre 2021, Mondo TV S.p.A. comunica che sono state emesse n. 1.545.808 azioni ordinarie del valore nominale di euro 0,50 ciascuna, aventi godimento, diritti e caratteristiche pari a quelle in circolazione alla data di oggi. Tali nuove azioni sono state emesse a seguito della indicazione da parte di Atlas Special Opportunities di procedere alla restituzione delle azioni che furono oggetto di prestito da parte dell'azionista di maggioranza, Giuliana Bertozzi, alla medesima Atlas Special Opportunities (cfr. comunicati stampa in data 19, 22 e 23 febbraio 2021).

In conseguenza di quanto sopra, il capitale sociale interamente versato e sottoscritto, risulta essere pari a Euro 22.567.028,50 suddiviso in 45.134.057 azioni ordinarie.

Nei termini di legge si provvederà a depositare presso il Registro delle Imprese di Roma (ex art. 2444 Codice Civile) l'attestazione del nuovo capitale sociale che, ai sensi dell'art. 98 della delibera Consob n. 11971 del 14 maggio 1999 e successive modificazioni e dell'art. IA.2.3.4 delle Istruzioni Borsa Italiana S.p.A., si comunica essere composto come segue:

MONDO TV: Issuance of new shares following the repayment by Atlas Special Opportunities to the majority shareholder of the loan of shares

Communication of change of the company's capital

2 December 2021 – Following to the press release dated last 30 November 2021, Mondo TV S.p.A. informs that 1,545,808 ordinary shares for Euros 0.50 nominal value have been issued. The new shares have the same characteristics and rights of those already circulating at the date hereof. More in detail, the new shares have been issued upon receipt by Mondo TV of the indication by Atlas Special Opportunities for repayment to the majority shareholder, Giuliana Bertozzi, of the shares which were object of a loan to the same Atlas Special Opportunities (see the press release issued on 19, 22 and 23 February 2021).

The company's capital, issued and fully paid, will result to be Euros 22,567,028.50 made of 45,134,057 ordinary shares.

The Company will file with the Rome Company's register (pursuant to section 2444 of the Italian Civil Code) the statement on the new company's capital. In accordance with Section 98 of CONSOB decision n. 11917 dated May 14, 1998 and section IA.2.3.4 of the Instructions to the Market Regulation issued by Borsa Italiana S.p.A., the Company hereby confirmed that the new company's capital is made as follows:
