ASCOPIAVE: Communication relating to the global total of the voting rights pursuant to Article 85-bis, paragraph 4-bis, Consob Regulation 11971, dated 14th May 1999

Ascopiave S.p.A. ("Ascopiave" or the "Company") herein communicates that, as of today, the right of majority vote has entered into force, relating to n. 7.149.505 ordinary shares of the Company, pursuant to Article 127-quinquies, Legislative Decree 98/1998 and Article 6 of Ascopiave's corporate charter. Consequently, Ascopiave's ordinary shares with majority vote are now n. 150.822.524. Pursuant to Articles 6 of Ascopiave's corporate charter, it is herein stated that two votes are attributed to each share belonging to the same shareholder for an uninterrupted period of twenty-four months commencing from the date of registration in the Special List ("Special List") under Article 6.8 of the corporate charter.

For sake of completeness, it is also stated here under that – consistent with the provisions of Article 6.11 of Ascopiave's corporate charter – in the month of December 2021, n. 45.000 ordinary shares were cancelled from the Special List, following a communication from the intermediary of the shareholder Asco Holding S.p.A., received by the party designated for Special List management, due to the absence of conditions governing legitimate ownership of shares in the Special List. Said shares were registered under the Special List on 26th March 2020.

The following chart lists the figures relating to outstanding shares and the voting rights exercisable as from today's date, based on information available to the Company.

The Ascopiave Group is one of the leading operators in natural gas distribution in the country.

The Group owns concessions and direct assignments for the management of activities in 268 towns, supplying services to about 775,000 inhabitants, through a network which spreads over 12,000 kilometres. Furthermore, in the water sector, the Group is a shareholder and technological partner of Cogeide, which manages the integrated water service in 15 Towns within the Bergamo Province, serving a population of over 100 thousand with a network of 880 km.
