FIERA MILANO: RESIGNATION OF AN INDEPENDENT BOARD MEMBER AND TERMINATION OF THE EMPLOYMENT RELATIONSHIP WITH THE CHIEF REVENUE OFFICER

Milan, 31 march 2022 – Fiera Milano S.p.A. (the "Company" or "Fiera Milano"), leader in Italy and one of the main integrated operators in the world in the exhibition and congress industry, announces that it has received and taken note of the resignation of the non-executive independent director Anna Gatti, with effective from the first available Board of Directors.

Professor Anna Gatti, appointed as a member of the Board of Directors of the Company by the shareholders' resolution of 20 April 2020, reports that the aforementioned resignations have been presented due to the exceeding limits to cumulation of offices, as provided by Article 144 terdecies of the Issuers' Regulation.

The Company notes that as of the date of this press release Anna Gatti: (i) is a non-executive independent director as per the applicable laws and regulation; (ii) does not hold any shares in the Company, as per the information available to the Company; (iii) is not member of any internal company Board Committees; (iv) has no rights or any existing indemnity agreement related to his resignation.

In consideration of the above mentioned resignations, the Company, on behalf of the Board of Directors, sincerely thanks Professor Anna Gatti for the activity performed to the benefit of Fiera Milano S.p.A. The Board of Directors will adopt the most appropriate decisions accordingly to be promptly notified to the financial community without undue delay.

The Company also announces that Mario Franci, Chief Revenue Officer, has reached an agreement for the consensual termination of the employment relationship with effect from 30 April 2022, in order to pursue new professional opportunities.

In accordance with the Instructions for the Regulation of Organised Markets Managed by Borsa Italiana S.p.A, we inform you that Dr. Mario Franci does not hold shares in Fiera Milano as of today.
