COMUNICATO STAMPA PIANO DI INCENTIVAZIONE 2020 - 2022 DI IWB S.P.A.

Milano, 11 aprile 2022 – Con riferimento al piano di incentivazione di Italian Wine Brands S.p.A. ("IWB" o la "Società") denominato "Piano di incentivazione 2020 – 2022 di IWB S.p.A." (il "Piano"), la Società comunica che – a seguito della maturazione di complessivi n. 64.725 diritti riferiti alla seconda tranche compresa nel periodo di performance del Piano – in data odierna sono state assegnate gratuitamente complessive n. 32.362 azioni ordinarie IWB e n. 32.363 phantom shares, da liquidarsi in denaro e valorizzate al prezzo unitario di Euro 35,400 (corrispondente al valore normale), a complessivi n. 12 beneficiari del Piano, di cui n. 14.625 azioni e n. 14.625 phantom shares all'Amministratore Delegato di IWB, dott. Mutinelli, e n. 9.000 azioni e n. 9.000 phantom shares al dott. Quaranta, nella sua qualità di consigliere di IWB e di Amministratore Delegato di Giordano Vini S.p.A.. Ai sensi del regolamento del Piano, le azioni attribuite ai beneficiari del medesimo sono soggette ad un vincolo di intrasferibilità della durata di 24 mesi dalla data di consegna.

PRESS RELEASE IWB S.P.A. INCENTIVE PLAN 2020 – 2022

Milan, April 11, 2022 - With reference to the Italian Wine Brands S.p.A. incentive plan ("IWB" or the "Company") called the "2020 - 2022 Incentive Plan of IWB S.p.A." (the "Plan"), the Company announces - following the accrual of a total of no. 64.725 rights relating to the second tranche included in the performance period of the Plan – the assignement today of a total of no. 32.362 IWB ordinary shares and n. 32.363 phantom shares, to be paid out in cash and valued at the unit price of Euro 35.4 (corresponding to the normal value), for a total of no. 12 beneficiaries of the Plan, of which n. 14,625 shares and n. 14,625 phantom shares to the Chief Executive Officer of IWB, Dr. Mutinelli, and n. 9,000 shares and n. 9,000 phantom shares to Dr. Quaranta, in his capacity as director of IWB and CEO of Giordano Vini S.p.A .. Pursuant to the regulations of the Plan, the shares attributed to the beneficiaries are subject to a non-transferability restriction for a duration of 24 months from the date of delivery.
