Leonardo: comunicato stampa
Roma, 14/04/2022 – Il Consiglio di Amministrazione, riunitosi in data odierna sotto la Presidenza del Generale Luciano Carta, a proposito della proposta individuale di deliberazione presentata dall'Azionista Bluebell Partners Ltd. (25 azioni) in vista della prossima Assemblea degli Azionisti (il cui testo è in pubblicazione sul sito internet della Società), ha espresso le seguenti valutazioni.
Premesso che - in relazione al mero profilo dell'ammissibilità formale e, quindi, verificata esclusivamente la ricorrenza dei requisiti di presentazione della proposta - si è ritenuta ammissibile al voto assembleare la proposta individuale di deliberazione, come formulata, nell'ottica della massima trasparenza e onde continuare a garantire il più ampio esercizio dei diritti degli Azionisti nel quadro della disciplina speciale tutt'ora in vigore, con riguardo invece ai contenuti della citata proposta, il Consiglio di Amministrazione ha valutato l'infondatezza delle argomentazioni addotte.
L'organo consiliare, pertanto, ha espresso assoluta non condivisione delle contestazioni avanzate da Bluebell riguardo alle condotte dallo stesso Azionista asseritamente attribuite all'Amministratore Delegato anche in termini di presunti pregiudizi arrecati a Leonardo, ciò sia alla luce dei rilevanti risultati conseguiti dalla Società - specie con riferimento all'esercizio 2021 in relazione al quale si porrebbe la tematica della proposta individuale di azione di responsabilità avanzata da Bluebell - che dell'apprezzamento da parte del mercato dei risultati stessi.
Il Consiglio di Amministrazione ha quindi confermato un giudizio di assoluta adesione e condivisione della gestione attuata dall'Amministratore Delegato della Società.

Rome, 14/04/2022 – The Board of Directors of Leonardo, convened today under the chairmanship of Luciano Carta, with regard to the individual resolution proposal submitted by the Shareholder Bluebell Partners Ltd. (25 shares) in view of the next Shareholders' Meeting(the text of which is being publ ished on the Company's website), has expressed the following evaluations.
Whereas - under the mere profile of formal admissibility and, therefore, having verified exclusively the existence of the requirements for the submission of the proposal - said individual proposal, as formulated, is deemed admissible to the vote at the Shareholders' Meeting in view of maximum transparency and to continue to ensure the widest exercise of Shareholders' rights within the framework of the special regulations still in force, on the other hand, with regard to the contents of the aforementioned proposal, the Board of Directors has evaluated the groundlessness of the arguments put forward.
The Board of Directors has therefore expressed its unconditional disagreement with the objections raised by Bluebell with regard to the conduct allegedly attributed by the Shareholder to the Chief Executive Officer, also in terms of alleged prejudice caused to Leonardo, this both in light of the significant results achieved by the Company - especially with reference to the 2021 financial year in relation to which the Bluebell's individual proposal would arise - and of the market's appreciation of those results.
The Board of Directors has therefore confirmed that it unconditionally adheres and agrees with the management implemented by the Company's Chief Executive Officer.
