FIERA MILANO: THE ORDINARY SHAREHOLDERS' MEETING

- Approves the Financial Statements as of December 31, 2021

- Approves the Report on the Remuneration Policy pursuant to Article 123-ter of Legislative Decree 58/98

- Authorizes the purchase and disposal of treasury shares pursuant to articles 2357 and 2357-ter of the civil code

Milan, 22 April 2022. The Ordinary Shareholders' Meeting of Fiera Milano S.p.A. (the "Company" and / or "Fiera Milano"), chaired by the Chairman Carlo Bonomi, met today in single call. As required by current legislation on the Covid-19 health emergency, the intervention in the Shareholders' Meeting was carried out exclusively through the Designated Representative, Computershare S.p.A.

Financial Statements as of December 31, 2021

The Shareholders' Meeting approved the Financial Statements at 31 December 2021 of the parent Company Fiera Milano which recorded revenues of 106.9 million euros (63.0 million euros in 2020) and a net profit of 36.6 million euros compared to a net loss of 24.8 million euros in 2020. The Shareholders' Meeting also approved the proposal made by the Board of Directors to carry forward the net profit for the year.

During the Shareholders' Meeting, the Consolidated Financial Statements as at 31 December 2021 were presented, with Revenues equal to 129.8 million euros compared to 73.6 million in 2020, recording a positive net profit of 44.1 million euros. euro, compared to a net loss of 34.2 million euros in 2020.

For more details, please refer to the press release issued on 15 March 2022, on the occasion of the approval by the Board of Directors of the draft financial statements and the consolidated financial statements for the year ended 31 December 2021.

Finally, the 2021 Consolidated Non-Financial Statement was submitted, pursuant to Legislative Decree 254/2016.

Report on the Remuneration Policy pursuant to Article 123-ter of Legislative Decree 58/98

The Shareholders' Meeting approved the first section (with binding vote) pursuant to art. 123-ter, paragraph 3-ter of Legislative Decree 58/1998 and the second section (with non-binding consultative vote) pursuant to paragraph 6 of the same provision, of the Report on the Remuneration Policy.

Purchase and disposal of treasury shares pursuant to articles 2357 and 2357-ter of the civil code

The Shareholders' Meeting resolved to authorize the Board of Directors, pursuant to art. 2357 cod. civ. et seq., to purchase treasury shares of the Company, for the quantity, at the price, in the terms and in the manner described in the explanatory report on the items on the agenda of the Shareholders' Meeting, available on the Company's website in the section Governance, Shareholders' Meeting.

The minutes of the Shareholders' Meeting held today will be made available to the public, in accordance with the law, at the Company's registered office (S.S. del Sempione, 28 C.P. 141, 20017 Rho), at the authorized storage mechanism eMarketSTORAGE (www. emarketstorage.com) and on the Company's website in the Investors, Governance, Shareholders' Meeting section.

The summary report of the votes will be made available on the Company's website, in compliance with art. 125-quater of the TUF, within the terms of the law.
