EDISON COMPLETA L'USCITA DALLE ATTIVITÀ EXPLORATION AND PRODUCTION

Firmato l'accordo per la cessione a Wintershall Dea della partecipazione di Edison nella licenza algerina di Reggane-Nord, ultimo asset di produzione idrocarburi presente nel portafoglio di Edison.

Milano, 4 maggio 2022 – Edison annuncia di aver firmato l'accordo per la cessione della partecipazione nella licenza Reggane Nord in Algeria, completando la dismissione di tutte le attività Exploration and Production (E&P) avviata in seguito al riassetto strategico della società sui business della transizione energetica. In base all'accordo Edison cederà a Wintershall Dea Algeria Gmbh la propria partecipazione pari all'11,25% nel campo a gas on-shore di Reggane-Nord.

L'accordo si basa su un valore della partecipazione di Edison in Reggane Nord di circa 100 milioni USD.

Wintershall Dea già detiene una partecipazione nella licenza pari al 19,5%. Il campo di Reggane Nord è entrato in esercizio nel 2017 ed è costituito da 19 pozzi attualmente in produzione, che assicurano circa 2,8 miliardi di metri cubi di gas all'anno e sono venduti interamente a Sonatrach in Algeria sulla base di un contratto di lungo termine

L'operazione è condizionata all'approvazione, tra le altre, delle autorità competenti.

Edison attraverso questa operazione completa definitivamente l'uscita dalle attività di Exploration and Production avviata nel 2019 a seguito del nuovo riposizionamento strategico della società sui business della transizione ecologica. La prima tappa di questo percorso è stata la vendita di tutte le attività E&P direttamente operate da Edison, ad eccezione degli asset in Norvegia e in Algeria, a Energean Oil and Gas, attraverso l'accordo firmato a luglio 2019 e perfezionato a dicembre 2020. Nel dicembre 2020, la società ha poi proseguito con la cessione a Sval Energi, perfezionata nel marzo 2021, del 100% di Edison Norge AS che deteneva partecipazioni in asset in sviluppo e un portafoglio di licenze esplorative in Norvegia.

EDISON COMPLETES THE DIVESTMENT OF EXPLORATION AND PRODUCTION ACTIVITIES

The company signed an agreement with Wintershall Dea for the disposal of Edison's stake in the Algerian licence of North Reggane, the latest hydrocarbon asset in Edison's portfolio.

Milan, May 4, 2022 – Edison announces that it has signed an agreement to sell its stake in the North Reggane license in Algeria, completing the divestment of all Exploration and Production (E&P) activities following the company's strategic realignment towards its energy transition businesses. Under the agreement, Edison will sell its 11.25% stake in the North Reggane on-shore gas field to Wintershall Dea Algeria Gmbh.

The agreement is based on a value for Edison's participating interest in Reggane Nord of approximately 100 million dollars.

Wintershall Dea already holds a 19.5% stake in the licence. The North Reggane field started production stream in 2017 and consists of 19 currently productive wells which provide approximately 2.8 billion cubic metres of gas per year sold entirely to Sonatrach in Algeria on the basis of a long-term contract.

The transaction is subject, among others, to customary authority approvals.

Through this transaction, Edison exits from the Exploration and Production activities completing a process started in 2019 following the company's new strategic realignment towards its green transition businesses. The first stage of this path was the disposal of all E&P activities directly operated by Edison to Energean Oil and Gas, through the agreement signed in July 2019 and finalised in December 2020, with the exception of the Norwegian and Algerian assets. In December 2020, the company continued the path with the sale to Sval Energi, completed in March 2021, of 100% of Edison Norge AS which has stakes in assets under development and a portfolio of exploration licences in Norway.
