Saipem firma un accordo con KCA Deutag per la vendita delle attività Drilling Onshore
- Il corrispettivo totale consiste in 550 milioni di dollari in denaro oltre al 10% di partecipazione azionaria nell'entità combinata
- L'accordo è coerente con la strategia di Saipem di costruire un modello di business più resiliente e focalizzato, a supporto della struttura di capitale e degli obiettivi di liquidità
San Donato Milanese (Milano), 1 giugno 2022 – Saipem S.p.A. ("Saipem") ha annunciato oggi di aver firmato un accordo vincolante con KCA Deutag ("KCAD") per la vendita della totalità delle sue attività di Drilling Onshore a fronte di un corrispettivo in denaro di 550 milioni di dollari oltre a una partecipazione del 10% in KCAD dopo l'acquisizione da parte di quest'ultima del Drilling Onshore di Saipem.
La transazione non comporta alcun trasferimento di debiti finanziari da Saipem a KCAD.
Saipem opera con le sue attività di perforazione onshore a livello globale al di fuori dell'Italia, con particolare focalizzazione sul Medio Oriente e sulle Americhe, in 13 Paesi, con circa 4.000 persone e un portafoglio di 83 impianti di perforazione a terra di proprietà.
L'attività di perforazione a terra di Saipem ha registrato ricavi per l'intero anno 2021 pari a 347 milioni di euro e un EBITDA Adjusted di 82 milioni di euro; si prevede che l'EBITDA Adjusted del Drilling Onshore rappresenti circa il 20% dell'EBITDA consolidato Adjusted di Saipem per l'intero 2022.
KCA Deutag è un'azienda leader nel settore delle perforazioni, dell'ingegneria e della tecnologia, che opera sia a terra che a mare. Gestisce circa 110 impianti di perforazione in 20 Paesi ed impiega 8.300 persone. Nell'esercizio 2021 KCAD ha registrato un fatturato consolidato di 1.196 milioni di dollari e un EBITDA Adjusted di 237 milioni di dollari. L'indebitamento netto consolidato alla fine dell'anno 2021 era di 396 milioni di dollari.
L'aggiunta delle attività Drilling Onshore di Saipem in KCAD, che è già tra i più rinomati operatori internazionali di perforazione, porterà ulteriori opportunità di creazione di valore grazie alle sinergie operative e all'esperienza portata da Saipem; a sua volta, Saipem potrà trarre beneficio dalla sua partecipazione di minoranza nell'entità così potenziata.
Inoltre, l'operazione rappresenta per Saipem un ulteriore passo verso un modello di business più focalizzato e resiliente, basato sui trend di crescita dei propri mercati di riferimento, concentrando gli sforzi nel settore delle trivellazioni offshore e sostenendo al contempo il raggiungimento degli obiettivi di struttura di capitale e di liquidità.
I proventi della transazione miglioreranno la liquidità di Saipem, riducendo l'indebitamento netto e sostenendo la realizzazione del suo piano industriale 2022-25.
Il corrispettivo finale è soggetto ai consueti aggiustamenti di chiusura.
La chiusura della transazione - soggetta al completamento dello scorporo del business Drilling Onshore dal Gruppo Saipem, al completamento dell'aumento di capitale di Saipem e alle condizioni e approvazioni consuete - è prevista entro il 31 ottobre 2022 per le attività in Medio Oriente ed entro il 31 marzo 2023 per le Americhe.
Nell'ambito dell'operazione, Saipem è assistita da J.P. Morgan e Lazard.

San Donato Milanese (Italy), June 1, 2022 – Saipem S.p.A. ("Saipem") announced today that it has signed a binding agreement with KCA Deutag ("KCAD") to sell the entirety of its Drilling Onshore operations in exchange for a cash consideration of \$550 million plus 10% stake in KCAD after its acquisition of the Saipem's Drilling Onshore.
The transaction does not entail any financial debt transfer from Saipem to KCAD.
Saipem operates its Drilling Onshore business globally outside Italy, with a focus in the Middle East and Americas, in 13 countries with around 4,000 people and with a portfolio of 83 proprietary land rigs.
Saipem's Drilling Onshore business posted full year 2021 revenues of 347 million euro and adjusted EBITDA of 82 million euro; adjusted EBITDA of Drilling Onshore is expected to represent around 20% of the full year 2022 consolidated adjusted EBITDA of Saipem.

In full year 2021 KCAD posted consolidated revenues of 1,196 million USD and adjusted EBITDA of 237 million USD. Consolidated Net Debt at the year-end 2021 was 396 million USD.
The addition of Saipem's Drilling Onshore activities to KCAD, which is already among the most reputable international drilling operators, will bring additional opportunities of value creation from operational synergies and inclusion of Saipem expertise from which Saipem in turn expects to benefit via its minority stake in the enhanced entity.
Moreover, the transaction for Saipem is a further step towards a more focused and resilient business model based on the growing trends of Saipem's reference markets, concentrating efforts in the Drilling Offshore while supporting the achievement of its capital structure and liquidity objectives.
The cash proceeds from the transaction will improve Saipem's liquidity, lowering its net debt and supporting the delivery of its 2022-25 business plan.
Final consideration is subject to customary closing adjustments.
Closing of the transaction - subject to the completion of the carve out of the Drilling Onshore business from Saipem Group and the completion of Saipem's capital increase and customary conditions and approvals - is expected to occur by October 31, 2022 for the activities in Middle East and by March 31, 2023 for Americas.
