San Donato Milanese (MI), 27 giugno 2022 - Saipem e BW Energy hanno firmato un Memorandum of Agreement (MoA) per la vendita dell'unità galleggiante di produzione, stoccaggio e scarico (FPSO) Cidade de Vitória, attualmente di proprietà di Saipem e gestita operativamente per conto di Petrobras nel giacimento di Golfinho, al largo delle coste del Brasile.
La vendita della FPSO è subordinata alla chiusura dell'acquisizione, da parte di BW Energy, del 100% dei diritti di Petrobras nel giacimento di Golfinho ("chiusura della transazione Golfinho"), prevista per il primo trimestre del 2023.
Sulla base del memorandum d'intesa, BW Energy verserà a Saipem 73 milioni di dollari, di cui 25 milioni alla chiusura della transazione Golfinho, 13 milioni al momento dell'acquisizione e sdoganamento della FPSO, previsti nel 2023, e 35 milioni in 18 rate mensili dopo l'acquisizione.
Considerando i termini della transazione Golfinho, l'attuale contratto di noleggio e gestione operativa tra Saipem e Petrobras – in scadenza a febbraio 2023 - è stato esteso fino al momento dell'acquisizione della FPSO o alternativamente fino al giugno 2024, a seconda di quale tra i due termini si verificherà prima.
Questo accordo è in linea con i presupposti del piano strategico 2022-2025.

San Donato Milanese (Milan), June 27, 2022 – Saipem and BW Energy signed a Memorandum of Agreement ("MoA") for the sale of the FPSO Cidade de Vitoria, currently owned by Saipem and operated for Petrobras in the Golfinho field offshore Brazil.
The sale of the FPSO is subject to the closing of the acquisition by BW Energy of the 100% operating working interest in the Golfinho field from Petrobras ("Golfinho transaction closing") expected to occur in the first quarter 2023.
Under the MoA, BW Energy will pay Saipem 73 million USD of which 25 million USD is due at the Golfinho transaction closing, 13 million USD is due at FPSO takeover and customs clearance, expected in 2023, and 35 million USD will be paid in 18 monthly instalments following the takeover.
Considering the terms of the Golfinho transaction, the current lease and operate contract between Saipem and Petrobras - which would have expired in February 2023 - has been extended until the FPSO takeover, or June 2024, whichever comes first.
This agreement is in line with the assumptions of the 2022-25 strategic plan.
