Net Insurance:
• Submission to Borsa Italiana of the application for admission to listing of Net Insurance's ordinary shares and warrants on Euronext Milan, Euronext STAR Milan, if the requirements are met
• Concurrent submission to CONSOB of the request for approval of the prospectus for admission to trading of the ordinary shares and warrants
Rome, 30 June 2022 - Net Insurance, further to the resolutions passed by the Shareholders' Meeting on 21 June 2022 and the Board of Directors on 22 June last, hereby announces that it has today submitted to Borsa Italiana SpA ('Borsa Italiana') its application for admission to listing of the Company's ordinary shares and warrants on Euronext Milan (if the conditions are met, Euronext STAR Milan segment), organised and managed by Borsa Italiana.
At the same time, today, the Company filed with CONSOB the notice pursuant to Article 42 of Commission Delegated Regulation (EU) 2019/980 of 14 March 2019, as amended, and Article 52 of CONSOB Regulation no. 11971, dated 14 May 1999, as amended (the 'Issuers' Regulation'), concerning the request for approval of the prospectus for the admission to trading on Euronext Milan (Euronext STAR Milan, if the conditions are met) of the Company's ordinary shares and the warrants.
***** Please note that Net Insurance complies with the simplification regime provided for in Articles 70, paragraph 8 and 71, paragraph 1-bis, of the Issuers' Regulation, and therefore avails itself of the right to waive the publication requirements of the disclosure documents prescribed therein.
Banca Akros – Gruppo Banco BPM and EnVent Capital Markets Ltd assist the Company as sponsors for the listing on Euronext Milan (Euronext STAR Milan if the conditions are met).
