Landi Renzo: Aggiornamento relativamente all'Accordo di Investimento, all'Accordo di Investimento Azioni Speciali e al Patti Parasociale

Landi Renzo S.p.A. (la "Società") rende noto che sono a disposizione del pubblico sul sito internet della società (www.landirenzogroup.com) e presso il meccanismo di stoccaggio autorizzato "eMarket STORAGE" () (i) copia aggiornata dell'estratto relativo a (a) l'accordo di investimento (l'"Accordo di Investimento") sottoscritto in data 28 aprile 2022 tra Girefin S.p.A. ("Girefin"), Gireimm S.r.l. ("Gireimm") e Itaca Equity Holding S.p.A. ("IEH"), cui NewCo (come di seguito definita) ha aderito in data 1 luglio 2022, che disciplina i termini e le condizioni dell'operazione di investimento indiretto di minoranza di IEH nella Società (l'"Operazione"), attraverso GBD Green by definition S.p.A., società costituita in data 13 giugno 2022 e controllata da Girefin e Gireimm ("NewCo"), (b) il patto parasociale sottoscritto in data 14 luglio 2022 tra Girefin e Gireimm e Itaca Gas S.r.l., veicolo societario interamente controllato da IEH (il "Patto Parasociale"), (c) l'accordo di investimento (l'"Accordo di Investimento Azioni Speciali") sottoscritto, sempre in data 28 aprile 2022, tra Girefin, Gireimm, IEH, e il Dottor Cristiano Musi, amministratore delegato della Società, cui NewCo ha aderito in data 1 luglio 2022, che disciplina i termini e le condizioni dell'investimento del Dottor Cristiano Musi in NewCo, nonché i diritti patrimoniali incorporati nelle azioni speciali di NewCo integralmente sottoscritte e liberate dal Dottor Cristiano Musi in data 14 luglio 2022 (pubblicato sui quotidiani "IlSole24Ore e Milano Finanza" in data 19 luglio 2022); (ii) le informazioni essenziali aggiornate relative all'Accordo di Investimento; (iii) le informazioni essenziali aggiornate relative al Patto Parasociale; e (iv) le informazioni essenziali aggiornate relative all'Accordo di Investimento Azioni Speciali.

Landi Renzo: Updates regarding the Investment Agreement and Shareholders' Agreement

Landi Renzo S.p.A. (the "Company") hereby announces that the following documents are available to the public on the Company's website (www.landirenzogroup.com) and at the authorized storage mechanism "eMarket STORAGE" () (i) updated copy of the excerpt regarding (a) the investment agreement (the "Investment Agreement") entered into on April 28, 2022, by and among Girefin S. p.A. ("Girefin"), Gireimm S.r.l. ("Gireimm") and Itaca Equity Holding S.p.A. ("IEH"), to which NewCo (as defined below) adhered on July 1, 2022, governing the terms and conditions relating to the indirect minority investment by IEH in the Company (the "Transaction"), through GBD Green by definition S.p.A, a company incorporated on June 13, 2022 and controlled by Girefin and Gireimm ("NewCo"), (b) the shareholders' agreement executed by and among Girefin, Gireimm and IEH on July 14, 2022 (the "Shareholders' Agreement"), (c) the investment agreement (the "Special Shares Investment Agreement") entered into, on April 28, 2022, by and among Girefin, Gireimm, IEH, and Mr. Cristiano Musi, chief executive officer of the Company, to which NewCo adhered on July 1, 2022, governing the terms and conditions of Mr. Cristiano Musi's investment in NewCo, as well as the equity rights embedded in the special shares of NewCo fully subscribed and released by Mr. Cristiano Musi on July 14, 2022 (published in the newspapers "IlSole24Ore e Milano Finanza" on July 19, 2022); (ii) updated essential information regarding the Investment Agreement; (iii) updated essential information regarding the Shareholders' Agreement; and (iv) updated essential information regarding the Special Shares Investment Agreement.
