Piquadro S.p.A. Board of Directors Appointment of the CEO and granting of powers
Silla di Gaggio Montano (BO), July 25st, 2022 – The Board of Directors of Piquadro S.p.A., held today for the first time, after its appointment by the Ordinary Shareholders' Meeting of July 25th, 2022, has appointed Marco Palmieri also as Chief Executive Officer.
The Board of Directors has also assessed the qualifications of its members (in the number of 7, of whom 3 – Catia Cesari, Barbara Falcomer and Valentina Beatrice Manfredi - satisfying the requirements of independence provided for by Articles 147-ter, paragraph 4, and 148, paragraph 3, of the Legislative Decree 58/1998 – as well as by Recommendation 7 of the Corporate Governance Code promoted by Borsa Italiana S.p.A. and adopted by the Company) and the compatibility of the positions held by the members outside the Company with the duties deriving from their positions as directors of Piquadro S.p.A.
The Board has also assessed the possession of the qualifications of professionality and honorability of the new members of the Statutory Auditors' Committee as set out by the law and the Company's By-laws as well as it has acknowledged the possession of the independence requirements set out by the law and the Corporate Governance Code on the basis of the evaluations made by the Auditors' Committee itself in their today's meeting and transmitted to the Board in accordance to the Corporate Governance Code.
The Board of Directors has also appointed Pier Paolo Palmieri as Vice-Chairman of Piquadro S.p.A..
The Board of Directors has then appointed the Control and Risks Committee and the Remuneration and Nomination Committee.
Catia Cesari, Barbara Falcomer and Valentina Beatrice Manfredi all non-executive and independent directors, have been appointed as members both of the Control and Risks Committee and of the Remuneration and Nomination Committee.
Finally, the Board of Directors has appointed Catia Cesari as Lead Independent Director.
