NOTICE OF CHANGE IN SHARE CAPITAL

PURSUANT TO ART. 85-BIS OF THE REGULATIONS ADOPTED BY CONSOB RESOLUTION NO. 11971 DATED 14TH MAY 1999, AS AMENDED, AND ART. 2.6.2, PARAGRAPH 1, LETTER A), OF THE MARKET REGULATIONS BOTH ORGANISED AND MANAGED BY BORSA ITALIANA S.P.A.

Cavriago (RE), August 5, 2022 - Landi Renzo S.p.A. ("Landi Renzo" or the "Company"), announces that the new composition of its share capital as resulting from the execution and partial subscription of the capital increase, approved by the Extraordinary Shareholders' Meeting of April 29, 2022 ("Capital Increase") and whose final terms were determined by the Company's Board of Directors on July 11, 2022.

The certificate pursuant to Article 2444 of the Civil Code was filed for registration with the Reggio Emilia Companies Register on August 4, 2022.

The current composition of the share capital, i.e., data on the shares outstanding and the number of voting rights exercisable as of today's date with evidence of the previous share capital, is shown below.
