PROCEDURE FOR TRANSACTIONS WITH RELATED PARTIES

Milan, 5 August 2022 - The Board of Directors of Generalfinance S.p.A. ("Generalfinance" or the "Company"), held today, having obtained the favorable opinion of the newly formed Control, Risk and Sustainability Committee - which, in the organizational context of the Company, acts as a Committee for Transactions with Related Parties - has definitively approved the new "Procedure for Transactions with Related Parties", adopted pursuant to art. 2391-bis of the Italian Civil Code and in accordance with the regulations adopted by the National Commission for Companies and the Stock Exchange ("CONSOB") with resolution no. 17221 of March 12, 2010, as subsequently amended and supplemented (the "Regulation"), also taking into account the indications and clarifications provided by CONSOB with Communication no. DEM / 10078683 of 24 September 2010 as well as other communications, resolutions or supplementary or amending provisions subsequently adopted by CONSOB or other competent authorities. It constitutes an adjustment consequent to the listing of the Company.
