COMUNICAZIONE AI SENSI DELL'ART. 17 DEL REGOLAMENTO EURONEXT GROWTH MILAN
Milano, 29 settembre 2022 – Italian Wine Brands S.p.A., società con azioni negoziate sul sistema multilaterale di negoziazione Euronext Growth Milan, organizzato e gestito da Borsa Italiana S.p.A., ("IWB" o la "Società") rende noto, ai sensi della Disciplina sulla Trasparenza e dell'art. 17 del Regolamento Emittenti Euronext Growth Milan, di aver ricevuto in data 29 settembre 2022 da IPOC S.r.l. comunicazione della riduzione della propria partecipazione al di sotto della soglia di rilevanza del 5% del capitale sociale di IWB.
Si precisa che, come indicato nella suddetta comunicazione, "IPOC S.r.l. ha trasferito parte della propria partecipazione in IWB per mera ripartizione tecnica di quote conseguentemente alla sua scissione parziale in favore di Sip Of Italy S.r.l., la quale è così venuta a detenere il 2,849% del capitale di IWB. IPOC S.r.l. (che resta dunque titolare di una partecipazione pari al 4,457% in IWB) e SIP S.r.l. comunicano la rispettiva intenzione di gestire in continuità le partecipazioni detenute in IWB e la piena fiducia nel Consiglio di Amministrazione della Società per la prosecuzione dei programmi di sviluppo aziendale".
Sulla base delle comunicazioni pervenute dagli azionisti e delle informazioni ad oggi a disposizione della Società, detengono una partecipazione superiore al 5% del capitale con il diritto di voto di IWB i seguenti azionisti:

NOTICE PURSUANT TO ARTICLE 17 OF EURONEXT GROWTH MILAN REGULATION
Milan, 29 September 2022 – Italian Wine Brands S.p.A., a company with shares traded on the multilateral trading facility Euronext Growth Milan, organised and managed by Borsa Italiana S.p.A. ("IWB" or the "Company"), hereby announces, pursuant to Transparency Provisions and to Article 17 of Euronext Growth Milan Issuers' Regulation, to have received on 29 September 2022 from IPOC S.r.l. a notification of reduction of its shareholding below the materiality threshold of 5% of IWB's share capital.
Please, note that, as specified in the aforementioned notification, "IPOC S.r.l. transferred part of its shareholding in IWB by way of a mere technical division of quotas following its partial demerger in favour of Sip Of Italy S.r.l., that thus came to hold 2.849% of IWB's share capital. IPOC S.r.l. (that therefore remains owner of a shareholding equal to 4.457% in IWB) and SIP S.r.l. announce their respective intensions to manage on a continuing basis their respective shareholdings held in IWB and their full confidence in the Board of Directors of IWB for the prosecution of the company's development programmes".
Based on the notifications received from shareholders and on the information available to the Company as of today, the following shareholders hold more than 5% of IWB's share capital with voting rights:
