Net Insurance: Advisers appointed for the tender offer promoted by Poste Vita

Rome, 15 november 2022 – Net Insurance, following the voluntary Public Tender Offer on all the ordinary shares and Net Insurance Warrants (the "Offer") promoted by Poste Vita S.p.A. on 28 September, informs that the Board of Directors of the Company has appointed:

• Vitale & Co. for the role of Financial Adviser with the aim, among other things, to issue the Fairness Opinion on the adequacy, from an economic and financial point of view, of the consideration proposed by Poste Vita, in support of the Board;
• Studio Trevisan & Associati for the role of Legal Adviser.

Finally, the Board, also appointed EnVent Capital Markets Ltd for the issue of the Fairness Opinion on the congruity, from a financial point of view, of the consideration contemplated for the Offer, in support of the opinion of the Independent Directors of the Company pursuant to Article 39-bis of the regulation adopted by Consob resolution No. 11971/1999 ("Issuers' Regulation").

The appointment of the advisers by the independent directors and the Board of Directors has taken place following a process of selection and assessment of the fulfilment of professionalism and independence prerequisites of the teams.

The advisers have confirmed that they meet the necessary independence requirements for the performance of their respective duties during the Tender Offer process.
