REGULATORY UPDATE

Rome, January 4th , 2023 – doValue S.p.A. ("doValue", the "Company") announces, pursuant to Article 2-ter of the regulation adopted with Consob resolution no. 11971 of May 14th , 1999 ("Issuers Regulation") and considering that its average market capitalization during the year 2022 exceeded the reference threshold of €500 million, that it is no longer subject to the qualification of Small and Medium Enterprise ("SME") pursuant to art. 1, paragraph 1, letter w-quater.1) of Legislative Decree February 24th , 1998, n. 58 ("TUF").

This circumstance is reflected in the list of SME issuers with listed shares published by Consob on its website.

It should be remembered that not being subject to the SME qualification by the Company entails the application of a further relevant threshold for the purposes of the disclosure obligations of significant shareholdings, pursuant to art. 120 of the TUF, equal to 3% of the share capital. Therefore, shareholders who, at the date of publication of this press release, hold stakes above the new threshold of 3% of the capital and below 5% will have to notify Consob and doValue in compliance with articles 117, paragraph 2-bis, and 121, paragraph 3-bis, of the Issuers' Regulation.
