COMUNICATO STAMPA

MONDO TV: Comunicazione di avvenuta variazione del capitale sociale

16 gennaio 2023 – Mondo TV S.p.A. comunica, ai sensi dell'art. 98 della delibera Consob n. 11971 del 14 maggio 1999 e successive modificazioni e dell'art. IA.2.3.4 delle Istruzioni Borsa Italiana S.p.A., la nuova composizione del capitale sociale interamente sottoscritto e versato, a seguito delle emissioni di nuove azioni in virtù delle conversioni operate da Atlas nell'ambito dell'accordo di investimento con la medesima approvato dalla Società come da comunicato stampa del 29 aprile 2022.

A seguito delle conversioni di bond come da comunicati pubblicati in data 10 gennaio 2023, furono emesse nuove azioni ordinarie prive di valore nominale espresso, aventi godimento, diritti e caratteristiche pari a quelle in circolazione alla data della loro rispettiva emissione.

L'attestazione dell'avvenuta esecuzione dell'aumento di capitale sociale è stata depositata presso il Registro delle Imprese di Roma (ex articolo 2444 del Codice Civile) in data odierna. Si segnala che per un mero errore materiale, l'importo del capitale sociale comunicato in data 23 dicembre 2022 è stato indicato in euro 26.213.221, anziché in euro 25.870.01; pertanto si riporta nello schema che segue il nuovo capitale sociale, in cui viene indicato il valore del capitale sociale precedente corretto, diverso da quello riportato nell'ultima comunicazione:

MONDO TV: Notification of Change of Company's capital

16 January 2023 – Pursuant to Section 98 of CONSOB decision n. 11917 dated May 14, 1998 and section IA.2.3.4 of the Instructions to the Market Regulation issued by Borsa Italiana S.p.A., Mondo TV S.p.A. informed about the new Company's capital, issued and paid, as an effect of the issue of new shares subsequent to the conversions made by Atlas within the investment agreement approved by the Company as per press release dated 29 April 2022.

Upon the conversions as communicated on 10 January 2023, new ordinary shares without nominal value have been issued with the same characteristics and rights of those already circulating at the date of their issuing.

The relevant declaration pursuant to section 2444 of the Italian Civil Code has been filed today with the Company' Register in Rome. It should be noted that due to a mere material error, the amount of the share capital communicated on 23 December 2022 was indicated in Euro 26,213,221, instead of Euro 25,870.01; therefore, the following table shows the new share capital, which indicates the value of the correct previous share capital, different from that reported in the last communication:
