PUBBLICAZIONE DELL'AVVISO DI CONVOCAZIONE DELL'ASSEMBLEA DEGLI AZIONISTI DEL 26 APRILE 2023 E DI DOCUMENTAZIONE PRE-ASSEMBLEARE

Milano, 16 marzo 2023. Orsero S.p.A. rende noto che è stato messo a disposizione del pubblico presso la sede sociale in Milano, Via Vezza d'Oglio 7, oltre che sul sito istituzionale www.orserogroup.it, sezione "Governance/Assemblea Azionisti", e sul meccanismo di stoccaggio autorizzato eMarket Storage () la seguente documentazione:

• l'Avviso di Convocazione dell'Assemblea straordinaria e ordinaria degli Azionisti prevista, esclusivamente mediante mezzi di telecomunicazione, in unica convocazione per il 26 aprile 2023 e il relativo estratto (che sarà altresì pubblicato sul quotidiano "Il Sole 24Ore" del 17 marzo 2023);
• i moduli di delega al Rappresentante Designato per l'Assemblea del 26 aprile 2023 ai sensi, rispettivamente, degli artt. 135-novies e 135- undecies del TUF;
• le Relazioni illustrative degli Amministratori su tutti i punti all'ordine del giorno dell'Assemblea.

PUBLICATION OF NOTICE CONVENING THE SHAREHOLDERS' MEETING ON 26 APRIL 2023 AND PRE-MEETING DOCUMENTS

Milan, 16 March 2023. Orsero S.p.A. announces that the following documentation has been made available to the public at the company's registered office in Milan, Via Vezza d'Oglio 7, as well as on the institutional website www.orserogroup.it , section "Governance/ Shareholders' Meeting", and on the authorized storage mechanism eMarket Storage ():

• the Notice of Call of the Extraordinary and Ordinary Shareholders' Meeting scheduled, exclusively by means of telecommunications, on single call on 26 April 2023 and the related extract (which will also be published on 17 March 2023 on the newspaper Il Sole 24 Ore);
• the proxy forms to the Designated Representative for the Shareholders' Meeting of 26 April 2023 pursuant to Articles 135-novies and 135-undecies of the TUF;
• the Directors' Illustrative Reports on all the items of the agenda of the Shareholder's Meeting.
