Verification of compliance with the requirements of honorability, absence of causes of ineligibility or disqualification, and possession of independence requirements for Counselor Marta Bavasso.

Appointment of members of the supervisory body for the three-year period 2023-2025.

Milano, 23 marzo 2023 – Generalfinance (hereinafter, the "Company" or "Generalfinance") announces that, after the appointment by the Assembly of 20 March U.S., pursuant to art. 2386, paragraph 1, of the Civil code, as a member of the board of directors of Marta Bavasso, born in Florence, on March 22, 1969, the Board of Directors of the Company, which met today, on the basis of the information provided by the interested party, has ascertained that Marta Bavasso: (a) possesses the honorability requirements provided for by the current regulations applicable to companies with shares traded on an Italian regulated market, as well as the absence of causes of ineligibility or disqualification, pursuant to article 2382 of the Italian Civil code; (b) possesses the independence requirements under the TUF and the Corporate Governance Code. Avv. Marta Bavasso will remain in office until the expiry of the current Board of Directors (i.e., until the date of the Assembly called for the approval of the financial statements for the year ending December 31st, 2024).

As of today, Marta Bavasso (i) is not a member of any internal committees of the Board of Directors and (ii) based on the communications made to the Company, does not hold any shares in Generalfinance.

Furthermore, the Board of Directors has decided to renew the Supervisory Body, pursuant to article 6 of Legislative Decree no. 231/2001, which will remain in office for the three-year period 2023-2025. The Supervisory Body is composed of two members, one external, Maria Enrica Spinardi, a member of the Board of Statutory Auditors, with the role of President, and one internal, Margherita De Pieri, employed in the Legal and Corporate Affairs department of Generalfinance.
