RELATECH: EXECUTION OF THE DEED OF MERGER OF EXEO S.P.A. IN BTO S.P.A.

Milan, 31st of March 2023

Relatech S.p.A., Digital Enabler Solution Know-how (DESK) Company listed on the Euronext Growth Milan market (Ticker: RLT), further to what was communicated on 18 January 2023, it hereby announces that, today, the deed of merger (the "Merger") by incorporation of the subsidiary EXEO S.p.A. ("Merged Company") into BTO S.p.A. ("Merging Company") was registered with the competent Register of Enterprises, pursuant to Article 2504 bis of the Italian Civil Code.

The Merger will therefore be legally effective as of today's date. The accounting effects referred to in Article 2501-ter, paragraph 1, no. 6, of the Italian Civil Code shall run from the first day of the financial year in which the Merger is completed (i.e. 1 January 2023) pursuant to and for the purposes of Article 2504-bis, paragraph 2, of the Italian Civil Code and, therefore, from that date, the accounting transactions of the Merged Company shall be recognised in the financial statements of the Merging Company. The tax effects of the Merger will also run from the date of its accounting effectiveness, i.e. from the first day of the financial year in which the Merger was completed pursuant to Article 172, paragraph 9, Presidential Decree 917/86.
