MANUELA FRANCHI APPOINTED AS ACTING CHIEF EXECUTIVE OFFICER OF THE GROUP

Rome, April 27th, 2023 – doValue S.p.A. ("doValue", the "Company", the "Group") communicates that the Board of Directors has co-opted Manuela Franchi as acting Chief Executive Officer of the Group with effective date April 29th, 2023.

The current Chief Executive Officer, Andrea Mangoni, has confirmed its intention to resign with effective date April 28th, 2023. As of the resignation date, Andrea Mangoni will hold 789,547 doValue shares (inclusive of the shares that will be transferred on April 28th, 2023).

With the aim of ensuring full continuity and stability in the management of the Group, the powers and delegations of Manuela Franchi reflect in substance the ones currently held by Andrea Mangoni, except for extraordinary transactions (which will continue to be held by the Board of Directors). As of April 29th , 2023, Manuela Franchi will hold 19,529 doValue shares.

Manuela Franchi is currently General Manager of Corporate Functions and Chief Financial Officer of the doValue Group, as well as member of the Board of Directors of doValue Greece and doValue Spain (roles that she will maintain together with the acting Chief Executive Officer role). Manuela Franchi has been part of the senior management of doValue since 2016, initially in charge of M&A and Investor Relations (leading the Initial Public Offering process of the Company on Borsa Italiana), subsequently as Chief Financial Officer and more recently also as General Manager of Corporate Functions (in particular leading the Group wide doTransformation program). Previously, Manuela Franchi has worked in the investment banking divisions of Goldman Sachs and Bank of America Merrill Lynch for more than 15 years, where she held various roles including the one of Managing Director.

The Board of Directors has also activated a process for the individuation of the person that will assume the role of Group Chief Executive Officer, a process which includes the evaluation of internal and external candidates to doValue. The process is expected to be concluded during the second half of 2023.

Manuela Franchi will assume the role of Chief Executive Officer temporarily until the nomination of the Chief Executive Officer ultimately chosen, or until a possible confirmation of Manuela Franchi in the role.

Theodore Kalantonis, currently Head of the Hellenic Region at doValue, will also assume the role of Chairman of doValue Spain (a role currently held by Andrea Mangoni). In addition, Sara Paoni, currently Group General Counsel, will also assume the role of acting Head of Italy at doValue (role currently held by Andrea Mangoni).
