Gas Plus S.p.A.: 2023 Outlook update following publication in Romania of the Law amending the "solidarity contribution"

Milan, 15 May 2023 –

It was published - on the Romanian official gazette of 12 May 2023, no 410 - the Law no. 119 of 12 may 2023 – effective today -, which amended the provisions concerning the solidarity contribution for the companies operating in crude oil, gas and coal extraction as well as refining, as introduced in Romania by the Emergency Government Ordinance 186/28.12.2022.

In compliance with the provisions as applicable before the amendment, the 2022 consolidated Financial Statements of Gas Plus Group included among the income taxes and, conversely, among the tax liabilities the amount (quantified in € 21.6 M) which Gas Plus Dacia S.R.L., the Romanian subsidiary, would have had to pay within the 25th of June 2023 as solidarity contribution.

The just approved amendment provides an exclusion from the solidarity contribution for the companies that did not produce hydrocarbons in the period between 2018 and 2021. Therefore, Gas Plus Dacia S.R.L. is no longer included among the subjects required to pay the solidarity contribution, as it has begun production in Romania starting from the middle of the month of June 2022.

The effects of the supervening non-obligation to pay the solidarity contribution for the year 2022 concerning Gas Plus Dacia SRL and of the consequential non-existence of the related tax liability will be acknowledged in the half-yearly consolidated Financial Statements at 30th June 2023.

The 2023 Outlook (as per press release of April 4, 2023) is updated, eliminating the provision requiring the payment of the solidarity contribution in Romania, both for the year 2022, as explained above, and for the following year 2023.
