• NOMINA GABRIELLA FABOTTI QUALE INVESTOR RELATIONS MANAGER DI IWB

Milano, 13 giugno 2023 – Italian Wine Brands S.p.A. ("IWB" o la "Società") rende noto che in data odierna il Consiglio di Amministrazione della Società, tenuto conto delle dimissioni rassegnate in data 28 aprile 2023 dal dott. Pier Paolo Quaranta (come da comunicato pubblicato in pari data sul sito internet della Società), dopo aver valutato la sussistenza dei requisiti necessari per lo svolgimento dell'incarico, ha deliberato, ai sensi dell'art. 2386 c.c. e dell'art. 18 dello statuto sociale di IWB, la nomina per cooptazione di Simone Strocchi alla carica di amministratore non esecutivo, il quale rimarrà in carica sino alla prossima Assemblea di IWB. Il nuovo amministratore si qualifica come non indipendente ai sensi di legge e di statuto e, alla data odierna, detiene 250.844 azioni IWB per tramite della società dallo stesso controllata "Sip of Italy srl", cui si aggiungono 2.000 azioni detenute personalmente. Inoltre, in ottemperanza all'art. 6-bis del Regolamento Emittenti Euronext Growth Milan a seguito dell'intervenuta efficacia delle dimissioni rassegnate dal dott. Quaranta, il Consiglio di Amministrazione di IWB ha nominato Gabriella Fabotti, attuale CFO di IWB S.p.A. nel ruolo di nuovo Investor Relations Manager della Società.

Alessandro Mutinelli, Presidente e AD del Gruppo, dichiara: "siamo estremamente lieti del ritorno in CdA di Simone Strocchi, che era già stato nostro consigliere e vice-presidente sin dalla quotazione della società. La sua competenza ed esperienza in ambito di finanza e di M&A sarà di grande aiuto alla società per la sua evoluzione futura. Simone è sempre stato vicino ed ha sempre creduto nel progetto imprenditoriale di IWB, ne ha promosso la quotazione nel 2015, ed ha supportato le maggiori decisioni di crescita del gruppo con le cinque acquisizioni portate con successo a termine negli ultimi cinque anni."

THE BOARD OF DIRECTORS OF ITALIAN WINE BRANDS S.P.A.: • CO-OPTS SIMONE STROCCHI AS DIRECTOR • APPOINTS GABRIELLA FABOTTI AS INVESTOR RELATIONS MANAGER OF IWB

Milan, 13 June 2023 - Italian Wine Brands S.p.A. ("IWB" or the "Company") announces that today the Board of Directors of the Company, taking into account the resignation of Mr. Pier Paolo Quaranta on 28 April 2023 (as per the press release published on the same date on the Company's website), after assessing the existence of the necessary requirements for the performance of the office, pursuant to Article 2386 of the Italian Civil Code and Article 18 of IWB's bylaws, has resolved to appoint by co-option Simone Strocchi to the position of non-executive director, who will remain in office until the next Shareholders' Meeting of IWB. The new director qualifies as non-independent in accordance with the law and the bylaws and, as of today's date, holds no. 250,844 ordinary shares of the Company through his subsidiary company "Sip of Italy S.r.l.", in addition to 2,000 shares personally held. In addition, in accordance with Article 6-bis of the Euronext Growth Milan Issuers' Regulations following the effectiveness of the resignation of Mr. Quaranta, the Board of Directors of IWB has appointed Gabriella Fabotti, IWB CFO, in the role of the Company's new Investor Relations Manager.
