COOPTATION OF MEMBER OF THE BOARD OF DIRECTORS
Rome, June 15th, 2023 – doValue S.p.A. ("doValue", the "Company") communicates that, following the signing of a shareholders' agreement between Avio S.à r.l. and Sankaty European Investments S.à r.l. on June 13th, 2023, the Board of Directors of the Company, which has met today, considering the resignation of Emanuela Da Rin on June 14th, 2023, with positive opinion of the Nomination and Renumeration Committee, has coopted, pursuant to art. 2386, first paragraph, of the Civil Code and article 13 of the Articles of Association, Elena Lieskovska as member of the Board. Elena Lieskovska will remain in office until the next Shareholders' Meeting.
The Board has also assessed that Elena Lieskovska meets the current requirements as well as the independence requirement set forth in art. 148, paragraph 3, of Legislative Decree 58/1998 (TUF). In addition, during today's meeting, the Board of Directors resolved to supplement the composition of the Nomination and Remuneration Committee, appointing Giovanni Castellaneta (Chairman of the Company) and Elena Lieskovska as additional members of the same.

As of today, Elena Lieskovska does not own doValue S.p.A. shares.
