FILING OF THE COMMON DRAFT TERMS OF CROSS-BORDER MERGER BY ABSORPTION OF UNIPOLRE D.A.C. INTO UNIPOLSAI ASSICURAZIONI S.P.A.

Bologna, 28 June 2023

UnipolSai Assicurazioni S.p.A. ("UnipolSai" or the "Company") hereby announces that on the date hereof the common draft terms of cross-border merger by absorption of UnipolRe D.A.C. – a reinsurance company wholly owned by UnipolSai through UnipolSai Nederland B.V., currently in liquidation – into UnipolSai, approved by the Board of Directors of the Company during the meeting held on 23 March 2023, were deposited at the registered office.

The terms of merger are also available on the Company's website (www.unipolsai.com) under the section governance/extraordinary-transactions/merger-plans.

It should be noted that the deposit of the terms of merger with the relevant Companies' Register is subject to authorisation by IVASS (the Italian Insurance Supervisory Authority) pursuant to and in accordance with Article 201, Legislative Decree No. 209 of 7 September 2005 and Article 23 of the IVASS Regulation no. 14/2008, having obtained the relevant favourable approval of the Central Bank of Ireland.
