ESPRINET: EXECUTION OF CLOSING FOR THE ACQUISITION OF LIDERA, THE DISTRIBUTOR OF CYBERSECUTIRY SOFTWARE

Vimercate (Monza Brianza), 01 August 2023 – ESPRINET (PRT:IM), leading Group in Southern Europe in advisory services, sale and rental of technological products and cybersecurity, announced that, in accordance with the previous communication of 20 March 2023, it finalized today the acquisition, through the parent company V-Valley Advanced Solutions España S.L., of 100% of the share capital of Lidera Network S.L., Spanish company, with a branch in Portugal, active since 1999 in the distribution of software related to the cybersecurity.

The execution of the agreement was subject to the usual conditions applied to similar transactions, including the obtaining of the authorization for the acquisition by the Antitrust of Spain.

The agreed upon price, equal to Euro 5.6 million - subject to adjustment mechanisms that can be activated within one year - was paid in full today in cash.

The transaction is consistent with the Esprinet Group's strategy of consolidating its leadership in Southern Europe, in particular in the Advanced Solutions segment, further asserting in its role of value added tech enabler. With this acquisition, that follows the one of Bludis in Italy, the technical know-how of the Lidera professional personnelle will strengthen the international team of V-Valley, the company owned by Esprinet, that deals with the development of the Solutions business, presenting as a pole of excellence in Cybersecurity.
