1.         2020 Long Term Incentive Plan - grant of plan cycle 18 awards

Ricardo PLC (the "Company") announces that, on 28 October 2024, conditional awards over a total of 464,602 shares of 25 pence each in the Company ("Shares") were granted to Executive Directors and other Persons Discharging Managerial Responsibility ("PDMRs") as set out below under the terms of the Company's 2020 Long Term Incentive Plan (the "LTIP"). The awards will vest after three years and are subject to TSR, EPS and ESG performance conditions (details of which will be released once finalised) and continued employment. The awards granted to the Executive Directors will also be subject to a two-year holding following the date of vesting.

2.         2020 Long Term Incentive Plan - grant of discretionary retention awards

The Company also announces that, on 28 October 2024 , discretionary retention awards over a total of 10,000 Shares was granted to two PDMRs as set out below under the terms of the Company's LTIP. These awards will vest on 28 October 2027 and are not subject to any performance conditions.

3.         2021 Deferred Bonus Plan - grant of deferred bonus awards

Finally, the Company announces that, on 28 October 2024, conditional awards over a total of 90,630 Shares were granted to Executive Directors and other PDMRs as set out below under the terms of the Company's 2021 Deferred Bonus Plan (the "DBP").  Subject to continuing employment, the awards granted to the Executive Directors vest after three years and the awards granted to other PDMRs (with the exception of Mike Bell, Rachel White, Chester Gryczan and Richard Guest, whose awards vest in equal tranches on the first, second and third anniversaries of grant) vest on the first anniversary of grant. These DBP awards (which include dividend equivalent entitlements) are not subject to performance conditions.
