Saipem: aggiudicati nuovi contratti offshore in Costa d'Avorio e in Italia per un valore complessivo di 850 milioni di euro

Milano, 8 settembre 2023 – Saipem si è aggiudicata due nuovi contratti per attività offshore in Costa d'Avorio e in Italia, per un valore complessivo di 850 milioni di euro.

Il primo contratto è stato assegnato a Saipem da Eni Côte d'Ivoire e il suo partner Petroci. Si tratta di un contratto Subsea Umbilicals, Risers and Flowlines (SURF) per lo sviluppo del progetto Baleine Phase 2, relativo all'omonimo giacimento di olio e gas situato nell'offshore della Costa d'Avorio, a 1.200 metri di profondità.

Lo scopo del lavoro prevede l'ingegneria, l'approvvigionamento, la costruzione e l'installazione (EPCI) di circa 20 km di linee rigide, 10 km di riser e jumper flessibili e 15 km di ombelicali collegati a un'unità galleggiante dedicata. I lavori di installazione saranno eseguiti mobilitando le migliori navi da costruzione offshore di Saipem e si svolgeranno nel 2024.

Con questa nuova aggiudicazione, Saipem apporta un ulteriore contributo strategico alla storia del campo di Baleine e consolida la propria presenza in Costa d'Avorio. Saipem ha contribuito alle attività di perforazione di Baleine Phase 1 con l'impiego dei mezzi Saipem 10000 e Saipem 12000, e ha poi eseguito in modalità "fast-track" due contratti per la fase 1 del progetto.

Il secondo contratto è stato assegnato a Saipem, tramite un raggruppamento temporaneo di imprese con Rosetti Marino e Micoperi, da Snam Rete Gas per la realizzazione degli impianti per la nuova nave di stoccaggio e rigassificazione (FSRU) che sarà situata nel Mare Adriatico al largo di Ravenna.

Il progetto consiste nell'ingegneria, l'approvvigionamento, la costruzione e l'installazione (EPCI) di una nuova struttura offshore, connessa a quella esistente, per l'attracco e l'ormeggio della nave FSRU, da collegare alla terraferma tramite una condotta offshore da 26" lunga 8,5 km, più 2,6 km a terra e un cavo parallelo in fibra ottica. Il passaggio a terra utilizzerà un sistema di microtunneling per ridurre al minimo l'impatto ambientale. Le operazioni offshore saranno eseguite dalla nave posatubi Saipem Castoro 10.

La nuova FSRU consentirà di aumentare la capacità di importazione di GNL in Italia, incrementando così la sicurezza energetica del Paese grazie alla diversificazione delle fonti di gas.

Ai sensi dell'art. 6 del Regolamento Consob in materia di operazioni con parti correlate, si informa che le suddette operazioni concluse con Eni Côte d'Ivoire e Snam Rete Gas sono entrambe qualificabili come operazioni con parti correlate, in quanto entrambe concluse tra società soggette a comune controllo. In particolare, Eni S.p.A. controlla sia Saipem S.p.A. (controllo congiunto insieme a CDP Equity S.p.A.) sia Eni Côte d'Ivoire. Cassa Depositi e Prestiti S.p.A. controlla sia Saipem S.p.A., tramite CDP Equity S.p.A. (controllo congiunto insieme a Eni S.p.A.), sia Snam Rete Gas, tramite Snam S.p.A. e CDP Reti S.p.A.. Le predette operazioni, qualificabili come "operazioni di maggiore rilevanza" ai sensi della Management

System Guidelines "Operazioni con Parti Correlate e Soggetti di Interesse" di Saipem, beneficiano entrambe dell'esclusione ai sensi dell'art. 9 di tale procedura e dell'art. 13, comma 3, lett. c) del citato Regolamento Consob, in quanto "operazioni ordinarie e concluse a condizioni equivalenti a quelle di mercato o standard".

Saipem: awarded new offshore contracts in Côte d'Ivoire and Italy for an overall amount of 850 million euro

Milan (Italy), September 8, 2023 – Saipem has been awarded two new contracts for offshore activities in Côte d'Ivoire and Italy for an overall amount of 850 million euro.

The first contract has been awarded to Saipem by Eni Côte d'Ivoire and its partner Petroci. It is a Subsea Umbilicals, Risers and Flowlines (SURF) contract for the development of the Baleine Phase 2 project, which takes its name from the oil and gas field, located offshore Côte d'Ivoire at a 1,200m water depth.

The scope of work encompasses the Engineering, Procurement, Construction and Installation (EPCI) of approximately 20 km of rigid lines, 10 km of flexible risers and jumpers and 15 km of umbilicals connected to a dedicated floating unit. The installation works will be carried out by Saipem's best-in-class offshore construction vessels and will take place in 2024.

With this new award, Saipem brings a further strategic contribution to the history of the Baleine field and strengthens its presence in Côte d'Ivoire. Saipem contributed to the drilling activities of Baleine Phase 1 by deploying the Saipem 10000 and Saipem 12000 vessels, followed up by the execution of two contracts for Baleine Phase 1 in fast-track mode.

The second contract has been awarded to Saipem, through a temporary association of companies with Rosetti Marino and Micoperi, by Snam Rete Gas for the construction of the facilities for the new Floating Storage and Regasification Unit (FSRU) to be located in the Adriatic Sea offshore Ravenna, Italy.

The project consists of the Engineering, Procurement, Construction and Installation (EPCI) of a new offshore facility, linked to the existing one, for the docking and mooring of the FSRU, to be connected to shore via a 26" offshore pipeline 8.5 km in length, plus a 2.6 km onshore pipeline and a parallel fibre optic cable. The shore crossing will utilize a microtunneling system to minimize environmental impacts. Offshore operations will be executed by Saipem's pipelay barge Castoro 10.

The new FSRU will enable an increase in Italy's LNG import capacity, thus improving the country's energy security thanks to the diversification of gas sources.

Pursuant to Article 6 of the Consob Regulation on related party transactions, Saipem informs that both the above transactions entered into with Eni Côte d'Ivoire and Snam Rete Gas qualify as "related party transactions", as they involve companies subject to common control. In particular, Eni S.p.A. controls both Saipem S.p.A. (joint control shared with CDP Equity S.p.A.) and Eni Côte d'Ivoire. Cassa Depositi e Prestiti S.p.A. controls both Saipem S.p.A., through CDP Equity S.p.A. (joint control shared with Eni S.p.A.), and Snam Rete Gas, through Snam S.p.A. and CDP Reti S.p.A. Both the transactions, which qualify as "transactions of greater importance" pursuant to the Management System Guideline "Transactions with Related Parties and Parties of Interest" adopted by Saipem, fall under the exclusion provided for by Article

9 of the mentioned procedure and Article 13, paragraph 3, letter c) of the aforementioned Consob Regulation, as they are "regular transactions completed at market-equivalent or standard terms ".
