Notice of filing of documents

Following the previous announcement (21 December 2022), the centralization under Banco BPM of the management of property portfolios and issues of financial instruments through the partial demerger of Banca Akros S.p.A. in favor of Banco BPM S.p.A. has been defined

Milan, 3 October 2023 - As part of the reorganization of activities resulting from the definition of the new organizational and governance model, announced last 21 December 2022 and aimed at fostering a better coordination of Banco BPM Group activities, notice is hereby given that today, following the obtainment of the authorization issued by the European Central Bank, the plan for the partial demerger of Banca Akros S.p.A. ("Banca Akros") in favor of Banco BPM S.p.A. ("Banco BPM" or "Parent Company"), prepared pursuant to Articles 2506-bis and 2501-ter of the Italian Civil Code (the "Demerger Plan"), was registered with the competent Companies Register.

Banca Akros is the Group's company specializing in Corporate and Investment Banking activities, wholly owned by Banco BPM.

The partial demerger transaction, to be implemented with a simplified procedure pursuant to Articles 2505 and 2506-ter of the Italian Civil Code, provides for the assignment by Banca Akros in favor of Banco BPM of the business unit related to the "Proprietary Finance" activity, which shall allow the specialization (i) of the Parent Company in the management of proprietary portfolios and the issuance of financial instruments (ii) of Banca Akros in the Investment Banking, Brokerage and Sales activities.

The transaction, which is part of a project to simplify the business model within the Banco BPM Group through the simplification and strengthening of certain strategic areas, will not entail any significant impact on the Group's consolidated capital adequacy and risk concentration.

We also inform that, in accordance with current regulations, as of today's date, the Demerger Project is available to the public at the registered offices of the companies participating in the demerger, at Borsa Italiana S.p.A., on Banco BPM's website www.gruppo.bancobpm.it (section "Investor Relations > Corporate Transactions") and on the website of the authorized storage mechanism .

Finally, we inform you that the financial statements for the last three fiscal years of the companies participating in the demerger are also available to the public, in accordance with current regulations.
