Shareholders' Agreement concerning the shares of Servizi Italia S.p.A. - Notice pursuant to Articles 129 and 131 of Issuers' Regulation11971/1999 ("RE")

This excerpt refers to the shareholders' agreements (the "Shareholders' Agreement") contained in the undertaking to tender signed on 9 November 2023 (the "Agreement"), between Cometa S.r.l. ("Cometa"), Steris UK Holding Limited ("Steris UK") and Steris Coporation, parent company of Steris UK (the "Parties") concerning Steris UK's undertaking to tender to the voluntary tender offer communicated pursuant to article 102 of the TUF and article 37 of the Issuers' Regulation by Cometa, with reference to the shareholding held by Steris UK in Servizi Italia S.p.A, a company with registered office in Castellina di Soragna (PR), registered with the Companies' Register of Parma no. 08531760158, VAT code no. 08531760158, share capital Euro 31,809,451, fully paid-up ("Servizi Italia"). The Shareholders' Agreement became effective as of the date of signature of the Agreement (the "Effective Date"), i.e. 9 November 2023. The content of the Agreement is referable to a shareholders' agreement pursuant to Article 122, paragraph 5, letter d-bis), of the TUF. In the Agreement is conferred the entire shareholding held at the Effective Date by Steris UK, equal to 1,877,607 shares of Servizi Italia, representing 5.903% of its share capital and voting rights. The Shareholders' Agreement was filed with the Emilia Register of Companies on 13 November 2023 and will be sent in its full version to Consob within the terms required by the applicable law.
