PIQUADRO S.p.A. Co-optation of a new Director

Silla di Gaggio Montano (BO), January 8, 2024 – The Board of Directors of Piquadro S.p.A. (the "Company") meeting today, with the approval of the Board of Statutory Auditors, resolved the appointment by co-optation, pursuant to art. 2386, first paragraph of the Civil Code and article 17.3 of the Company's Articles of Association, of Mr. Tommaso Palmieri, as non-executive director of the Company.

The appointment took place following the resignation given on January 5, 2024 by Mr. Francesco Giovagnoni, executive director, appointed from the majority list in the ordinary shareholders' meeting of July 25, 2022, to which a single non-elected candidate belongs, Mr. Sergio Marchese who was not able to accept the position of member of the Board of Directors due to the concomitance of further professional commitments.

Having taken note of the declarations made and the documentation presented by the new Director, the Board of Directors during the same meeting took steps to ascertain that Mr. Tommaso Palmieri possesses the requirements prescribed by the applicable legislation, the Company's Articles of Association and the Code of Corporate Governance for assuming the role.

Mr. Tommaso Palmieri will remain in office until the next shareholders' meeting of the Company. The curriculum vitae of the new Director, together with the declaration of acceptance of the office and possession of the legal requirements for assuming the office, is available on the Company's website, at the address www.piquadro.com, in the Investor Relations Section and at the authorized storage mechanism accessible at .
