FRANCHI UMBERTO MARMI S.P.A.: PAGAMENTO DELL'ULTIMA TRANCHE RELATIVA ALL'ACQUISIZIONE DELLA SOCIETA' INGEGNER GIULIO FAGGIONI E CALENDARIO EVENTI SOCIETARI DELL'ESERCIZIO 2024
Carrara, 22 gennaio 2024 – Il Consiglio di Amministrazione di Franchi Umberto Marmi S.p.A., azienda leader a livello internazionale nel settore della lavorazione e della commercializzazione del marmo di Carrara, quotata sul mercato Euronext Growth Milan (Ticker: FUM) (la "Società"), ha deliberato il pagamento in unica soluzione di quanto ancora dovuto alla società La Civiltà del Marmo Srl in relazione al contratto Preliminare di acquisto della partecipazione del 50% nella società Ingegner Giulio Faggioni società consortile a responsabilità limitata per un importo pari a Euro 12,4 mln essendosi realizzate le condizioni previste dal suddetto contratto. Tale operazione non avrà alcun impatto sulla PFN di FUM in quanto il pagamento previsto chiuderà il debito finanziario già iscritto a bilancio sin dalla data del closing (28.01.2021).
Fra le pattuizioni si è inoltre previsto che l'earn-out, già inserito nel suddetto contratto preliminare di acquisto, per un controvalore pari a Euro 1,0 mln a valere sui risultati 2023, sia ora posticipato di un anno, ovvero ai risultati 2024, rispetto a quanto originariamente pattuito.
Inoltre, in conformità agli obblighi informativi previsti dall'articolo 17 del Regolamento Emittenti Euronext Growth Milan, Franchi Umberto Marmi S.p.A. (la "Società" o "FUM") rende noto il calendario finanziario per l'esercizio 2024.

FRANCHI UMBERTO MARMI S.P.A.: PAYMENT OF THE LAST INSTALLMENT RELATING TO THE ACQUISITION OF THE COMPANY INGEGNER GULIO FAGGIONI AND 2024 FINANCIAL EVENTS CALENDAR
Carrara, January 22, 2024 – The Board of Directors of Franchi Umberto Marmi S.p.A., a leading international company in the processing and marketing of Carrara marble, listed on the Euronext Growth Milan market (Ticker: FUM) (the "Company"), has approved the single payment of the amount still due to the company La Civiltà del Marmo Srl regarding the preliminary contract for the purchase of 50% of the shareholding in the company Ingegner Giulio Faggioni, a limited liability consortium company, equal to Euro 12.4 million, since the conditions set out in the aforementioned contract have been met.
Thistransaction will not affect FUM's NFP, as the payment will close the financial debt already recognised in the financial statements since the closing (28.01.2021). The agreement also states that the earn-out, already incorporated in the aforementioned preliminary purchase agreement with a counter-value of Euro 1.0 million from 2023 results, will be postponed by one year, i.e to the 2024 results, with respect to the original agreement.
In addition, in compliance with the disclosure requirements under Article 17 of the Euronext Growth Milan Issuers' Regulations (Regolamento Emittenti Euronext Growth Milan) Franchi Umberto Marmi S.p.A. (the "Company" or "FUM"), communicates the following corporate events calendar in relation to the year 2024.
