MONDO TV: Conversione di un bond da parte di CLG Capital
23 febbraio 2024 – Mondo TV ha ricevuto da CLG Capital una richiesta di conversione (la "Richiesta") di uno dei 12 bond emessi in data 19 dicembre 2023, (cfr. comunicato stampa in pari data), per un valore nominale complessivo pari ad euro 125.000.
L'emissione si è svolta nell'ambito dell'accordo di investimento approvato dalla assemblea dei soci della Società come da comunicato stampa dell'11 dicembre 2023, cui si rinvia - con il quale CLG Capital si è impegnata a sottoscrivere, direttamente o tramite un soggetto eventualmente designato ai sensi del Contratto, in più tranches e solo a seguito di specifica richieste di sottoscrizione formulate dalla Società 60 bond convertibili in azioni per un valore di Euro 125.000 ciascuno (i "Bond").
Essendo stati emessi ad oggi 12 Bond, residuano ancora 48 Bond da emettere. Si rammenta che dei 12 Bond emessi, residuano ad oggi 7 Bond relativi alla prima tranche ancora da convertire.
Il numero di azioni oggetto della conversione è stato determinato in conformità al dettato contrattuale sulla base del 92% del prezzo medio ponderato dei prezzi per volume delle transazioni qualificanti rilevate da Bloomberg durante tre giorni di borsa selezionati da CLG Capital all'interno di un periodo di 15 giorni consecutivi di borsa aperta precedenti la ricezione della Richiesta. Il prezzo così determinato è risultato essere pari a Euro 0,20838 per azione: pertanto i Bond oggetto di conversione danno diritto a sottoscrivere 599.866 azioni ordinarie Mondo TV pari a circa lo 0,9554% del capitale sociale attualmente in circolazione.
Il valore per azione risultante sul patrimonio netto della Società al 30 giugno 2023, come risultante dalla relazione finanziaria semestrale approvata dal Consiglio di Amministrazione in data 13 settembre 2023, risulta essere:

Le suddette nuove azioni saranno emesse in data 26 febbraio 2024, e considerate le emissioni precedenti, il capitale sociale della Mondo TV sarà costituito da 63.385.144 azioni ordinarie.
L'attestazione dell'avvenuta (parziale) esecuzione dell'aumento di capitale sociale a servizio della conversione dei predetti bond sarà depositata presso il Registro delle Imprese di Roma nei termini e modalità di legge

MONDO TV: One bond has been converted by CLG Capital LLC and notification of change of Company's capital
23 February 2024 - Mondo TV has received from CLG Capital a conversion notice (the "Notice") of one of the 12 bonds issued on 19 December 2023, (see press release on the same date), for a total nominal value equal to 125,000 euros.
The issue took place within the scope of the investment agreement approved by the Company's shareholders' meeting as per the press release of 11 December 2023, to which reference should be made - with which CLG Capital committed to underwriting, directly or through a subject possibly designated pursuant to the Contract, in several tranches and only following specific subscription requests formulated by the Company, 60 bonds convertible into shares for a value of Euro 125,000 each (the "Bonds").
Since 12 Bonds have been issued to date, there are still 48 Bonds to be issued. Please note that of the 12 Bonds issued, there are currently 7 Bonds relating to the first tranche still to be converted.
The number of shares subject to the conversion was determined in accordance with the contractual provisions on the basis of 92% of the weighted average price of the prices by volume of the qualifying transactions detected by Bloomberg during three trading days selected by CLG Capital within a period of 15 consecutive trading days prior to receipt of the Request. The price thus determined was found to be equal to Euro 0.20838 per share: therefore the Bonds being converted give the right to subscribe to 599,866 Mondo TV ordinary shares equal to approximately 0,9554% of the share capital currently in circulation.
The value per share resulting from the Company's net equity as of 30 June 2023, as resulting from the half-yearly financial report approved by the Board of Directors on 13 September 2023, is:
Net Equity Mondo TV S.p.A. as at 30 June 2023 (in millions of euros): 21.3 number of shares issued to date: 62,785,278 equity per share as of June 30, 2023: 0.34
The aforementioned new shares will be issued on 26 February 2024, and considering the previous issues, the share capital of Mondo TV will be made up of 63,385,144 ordinary shares.
The certification of the (partial) execution of the share capital increase to service the conversion of the aforementioned bonds will be filed with the Company Registry of Rome according to the terms and conditions of the law
