Approved the Issuer's announcement in relation to the voluntary total voluntary tender offer promoted by Cometa S.r.l.

The Board of Directors of Servizi Italia S.p.A. (the "Company" or the "Issuer"), which met today, approved the press release (the "Issuer's Press Release") prepared pursuant to Article 103, paragraph 3, of Legislative Decree No. 58 of February 24, 1998, as subsequently amended (the "TUF") and Article 39 of the Regulations adopted by Consob Resolution No. 11971 of May 14, 1999, as subsequently amended (the "Issuers' Regulations"), which contains the reasoned assessment of the Board of Directors (i) on the voluntary tender offer promoted pursuant to Articles 102 et seq. of the TUF by Cometa S.r.l. (the "Offeror") on the entirety of the Issuer's shares after deducting the interests held by the parent company Aurum S.p.A. and the Offeror and the treasury shares held by the Company (the "Offer") and (ii) on the fairness of the related consideration.

For the purpose of the issuance of the Issuer's Communiqué, the Board of Directors has, inter alia, reviewed and taken into account the opinion issued on October 23, 2024 by the Independent Directors pursuant to Article 39-bis of the Issuers' Regulations (the "Independent Directors' Opinion") to which the fairness opinion (the "Fairness Opinion") issued by Equita SIM S. p.A. (the "Independent Expert") as the independent financial advisor appointed by the Independent Directors themselves, which the Board of Directors had also decided to make use of in support of the evaluations within the competence of the administrative body.

At the outcome of the meeting, the Board of Directors, also considering the Fairness Opinion and the Opinion of the Independent Directors, unanimously voted to formulate an opinion of fairness from a financial point of view of the Offer consideration of 2.37 euros per share of the Company.

For details and considerations made by the Board of Directors, please refer to the Issuer's Communiqué that will be attached to the Offer Document in agreement with the Offeror, together with the Independent Directors' Opinion and the Independent Expert's Fairness Opinion.
