Subject: Notice of significant legal transactions (inside information)

Valamar Riviera d.d. with its registered seat in Poreč, Stancija Kaligari 1, OIB 36201212847 (hereinafter: the Company), informs that the Supervisory Board of the Company, on October 24, 2024, without the participation of the Supervisory Board member Mr. Gustav Wurmböck, in accordance with the provisions of Article 263. b and 270 of the Companies Act, and with the aim of further improvement of business in Austria, gave prior consent to a new model of business cooperation with Wurmböck Beteiligungs GmbH, whose sole member is Mr. Gustav Wurmböck. Following the above, the new Business Plan of the Valamar A Group and the conclusion of long-term hotel lease agreements with the Valamar Obertauern GmbH, Kesselspitze GmbH & Co KG and Valamar Marietta GmbH, were approved, with application from November 1, 2024.

In accordance with the approved business model in Austria and the new form of business cooperation, the previous agreements regarding the management of hotel properties with the companies Valamar Obertauern GmbH, Kesselspitze GmbH & Co KG and Valamar Marietta GmbH, are terminated.

Through the new business model and its branch in Austria, the Company will continue operating and managing the hotels Valamar Obertauren Hotel, Kesselspitze Hotel & Chalet, Valamar Collection and [PLACES] Obertauern by Valamar. The new business model represents an important step forward in the further internalization of Company's business in the best winter holiday destinations.
